First Adjourned Meeting definition

First Adjourned Meeting shall have the meaning given to the term in Clause 4.5.1;

Examples of First Adjourned Meeting in a sentence

  • Quorum for the First Adjourned Meeting of the Board shall be 2/3 of the directors that are present, either in person or by proxy, and in the absence of a quorum, then a second adjourned meeting will be convened, within one (1) working days from the date of the First Adjourned Meeting, and shall be held at the same place and time (“Second Adjourned Meeting”).

  • If the Board Meeting Quorum is not present within thirty (30) minutes from the time when the First Adjourned Meeting should have begun, or if during the First Adjourned Meeting there is no longer a quorum, the First Adjourned Meeting shall automatically be further adjourned to the same day in the following week (the “Second Adjourned Meeting”, together with the First Adjourned Meeting, each an “Adjourned Meeting”).

  • If the quorum specified above is not present at the First Adjourned Meeting, the First Adjourned Meeting shall stand adjourned to the time and place on such date as may be notified to the Shareholders and at least five (5) Business Days’ prior notice shall be given to the Shareholders in relation to such adjourned meeting (the “Second Adjourned Meeting”).

  • A quorum for such First Adjourned Meeting of the Board shall be 2/3 of the Directors present either in person or by proxy, and in the absence of a quorum, then a second adjourned meeting will be convened, within one (1) working day from the date of the First Adjourned Meeting, and shall be held at the same place and time (“Second Adjourned Meeting”).

  • If there is absence of quorum at the First Adjourned General Meeting, then the Shareholders present at such meeting (being at least 2 (two) in number) shall form the quorum provided that no agenda containing any Reserved Matter shall be discussed or voted upon at such First Adjourned Meeting.

  • adjourned meeting means the meeting to which a meeting is adjourned under Article 8.6 or 8.9;

  • meeting of shareholders means an annual meeting of shareholders or a special meeting of shareholders;

  • special meeting of shareholders means a meeting of any particular class or classes of shareholders and a meeting of all shareholders entitled to vote at any annual meeting of shareholders at which special business is to be transacted.

  • Adjournment Proposal means a proposal to adjourn the special meeting of the stockholders of Thayer to a later date or dates, if necessary, to permit further solicitation and vote of proxies if, based upon the tabulated vote at the time of the special meeting, there are not sufficient votes to approve one or more proposals presented to stockholders for vote at such special meeting.

  • Regular Meeting means a scheduled meeting held in accordance with the approved calendar/schedule of meetings.

  • Stockholders means the stockholders of the Corporation.
