Acquiror, OpCo and Sponsor shall take such actions as are necessary to cause the Forfeited Shares, Forfeited Units and Forfeited Warrants to be retired and canceled, after which such Forfeited Shares, Forfeited Units and Forfeited Warrants shall no longer be issued, outstanding, convertible or exercisable.
Any Forfeited Unit that is reallocated in accordance with this Section 8.02(c) shall be subject to terms that are no more favorable than if such reallocation was deemed granted on the original date of grant as the underlying Forfeited Units.
For avoidance of doubt, nothing herein limits the effect of Section 5 below and, to the extent that the Applicable Warrant Units become Forfeited Units as referred to in Section 5c below, the Holder shall not be entitled to any cash payments pursuant to this paragraph with respect to those Forfeited Units.

Any term or provision of this Agreement may be amended, and the observance of any term of this Agreement may be waived only by a writing signed by the party to be bound.
Executive represents and warrants, that immediately prior to the forfeiture of the Forfeited Units accomplished hereby, Executive owned all right, title and interest in and to the Forfeited Units, free and clear of all liens and encumbrances, other than those liens and encumbrances created by the Operating Agreement and the Original Agreement.
