Member Director means a Director elected or appointed pursuant to section 8(2)(a) of the Act and Section 5.02;
Deputy Director means the Deputy Director of the Authority, as the case may be.
shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by that person in a professional capacity; and
Company Director means a member of the Board.
Seattle Human Resources Director means the director of the Seattle Department of Human Resources or his or her designated management representative.
Non-Management Director means any Person selected in accordance with Article IV of this Agreement who is not a Management Director.
Nonprofit corporation means a nonstock corporation organized under ch. 181 that is a nonprofit corporation, as defined in s. 181.0103 (17).
Funeral director means any person engaged in the practice of funeral directing.
former Board means the Board of Reference constituted under Part IV of the former provisions;
Sponsor Director means an individual elected to the Board that has been nominated by the Sponsor pursuant to this Agreement.
Planning Director means the Planning Director of the City of Santa Xxxxxx, or his or her designee.
Management Director means a Person selected in accordance with Article IV of this Agreement who shall have the powers and duties to manage the business and affairs of the Company and exercise its powers to the extent set forth in this Agreement, the Certificate and the Act. Each Management Director shall be a “manager” of the Company within the meaning of the Act.
Retirement board or "board" means the retirement system's governing board provided for in 2-15-1010.
Investor Director means any Director designated or nominated for election to the Board by the Investor Shareholders pursuant to Section 2.1 of this Agreement.
Independent Fund Director means an independent director of an investment company advised by Invesco.
county executive committee member means the county executive committee member responsible for matters relating to land;
Medical Executive Committee or “MEC” means the Executive Committee of the Medical Staff.
Director means a member of the Board.
Executive Director means the executive director of the
Black woman-owned enterprise means an enterprise with at least 25, 1% representation of black women within the black equity and management portion.
Community Developmental Disability Program (CDDP means an entity that is responsible for planning and delivery of services for individuals with developmental disabilities in a specific geographic service area of the state operated by or under a contract with the Division or a local mental health authority.
Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.
Program Director means an individual who has complete responsibility for the day to day function of the program. The Program Director is the highest level of decision making at a local, program level.
Supervisory employee means an employee, regardless of job description, having authority in the interest of the employer to hire, transfer, suspend, lay off, recall, promote, discharge, assign, reward, or discipline other employees, or the responsibility to assign work to and direct them, or to adjust their grievances, or effectively recommend that action, if, in connection with the foregoing functions, the exercise of that authority is not of a merely routine or clerical nature, but requires the use of independent judgment.
Community Development Director means the Director of City’s Department of Community Development or his or her designee.
Assistant Director means the Asstt. Director of the Authority, as the case may be.
