Former Seller Employee definition

Former Seller Employee has the meaning assigned in Section 8.01(f).
Former Seller Employee shall have the meaning set forth in Section 9.6(a).
Former Seller Employee means an individual whose employment has terminated but who (i) when last employed by Seller or one of its Affiliates, was employed by the Companies or a Companies’ Subsidiary, or (ii) was employed by Seller or any of its other Affiliates in any position with respect to which his or her responsibilities primarily related to the Business and, in either case, whose name is listed on the Schedule of Former Seller Employees delivered to Purchaser in accordance with Section 7.1(n) (Employee Matters).

Examples of Former Seller Employee in a sentence

  • If a Seller Employee who is not actively employed at the time of Closing due to short-term disability or approved leave of absence is, in the reasonable opinion of the Buyer, unfit to return to active employment with the Buyer within 30 days of the expected return date indicated on the updated Schedule 9.6(a) or otherwise does not commence active employment with the Buyer within such 30 day period, such individual shall be considered a "Former Seller Employee" for all purposes under this Agreement.

  • Except as specifically set forth in Section 4.5(b) and this Section 4.5(d), Buyer shall have (x) no obligation to offer employment to, or to employ, any Seller Employee, (y) no Liability in respect of any Seller Employee or Former Seller Employee for salary, compensation, severance, health, welfare, retirement or other benefits arising out of employment or engagement with Seller, and (z) the right to terminate any Continuing Employee for any lawful reason after the Closing Date.

  • Except as specifically set forth in Section 6.3(b) and this Section 6.3(d), Buyer shall have (x) no obligation to offer employment to, or to employ, any Seller Employee, (y) no Liability in respect of any Seller Employee or Former Seller Employee for salary, compensation, severance, health, welfare, retirement or other benefits arising out of employment or engagement with Seller, and (z) the right to terminate any Continuing Employee for any reason after the Closing Date.

  • Buyer shall promptly notify Seller of any Former Seller Employee (and their spouses and dependents) who become covered under Buyer's employee welfare benefit plans.

Related to Former Seller Employee

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.

  • Owner-Employee means a Self-Employed Individual who is a partner and owns more than 10% of either the capital or profits interest of the partnership.

  • Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each "employee benefit plan," within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Contract employee means an employee performing services under a PEO services contract or temporary help services contract.

  • SpinCo Employee has the meaning set forth in the Employee Matters Agreement.

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Continuing Employee has the meaning set forth in Section 6.7(a).

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Student Employee means a student who is paid by the District, and may include students participating in a work study program or who receive stipends while they are acting within the scope of their employment at the District at the time the intellectual property was created.

  • Servicer Employee As defined in Section 3.18.

  • Seller Benefit Plans has the meaning set forth in Section 4.8(a).

  • Company Employee Agreement means each management, employment, severance, retention, transaction bonus, change in control, consulting, relocation, repatriation or expatriation agreement or other Contract between: (a) any of the Company Entities or any Company Affiliate; and (b) any Company Associate, other than any such Contract that is terminable “at will” (or following a notice period imposed by applicable Legal Requirements) without any obligation on the part of any Company Entity or any Company Affiliate to make any severance, termination, change in control or similar payment or to provide any benefit.

  • Management Company Employee means an individual employed by a Person providing management services to the Company which are required for the ongoing successful operation of the business enterprise of the Company, but excluding a Person engaged in Investor Relations Activities;

  • Seller Benefit Plan means each Benefit Plan sponsored, maintained or contributed to by Seller or any of its Subsidiaries or with respect to which Seller or any of its Subsidiaries is a party and in which any Employee is or becomes eligible to participate or derive a benefit.
