Founders Group definition

Founders Group means Xxxxxxxxx X. Xxxxxx, an individual; the Irrevocable Trust FBO Xxxxx Xxxxxx Xxxxxx u/t/d March 20, 2011; the Irrevocable Trust FBO Xxxx Xxxxxxxxx Xxxxxx u/t/d March 20, 2011; Xxxxx X. Xxxx, an individual; the Trust F/B/X Xxxxxx X. Xxxx under Xxxxx X. Xxxx 2011 GRAT and the Trust F/B/O Xxxxxx Xxxx under Xxxxx X. Xxxx 2011 GRAT.

Founders Group means, with respect to a Founder’s right to purchase any other Founder’s vested or unvested shares in connection with a right of first refusal, right of first offer, or similar purchase opportunity, all those Founders whose employment or other service with the Company has not been terminated and who have not failed to purchase all of the shares subject to such right, as determined from time to time.

Founders Group means the Founders and their respective Affiliates.

Examples of Founders Group in a sentence

• The Company has entered into the Redemption Agreement pursuant to which it will redeem Class A-1 Units and Class A-2 Units of the Company from members of the Founders Group, following which it will convert to a Delaware corporation to be called SoulCycle Inc.

• If the Founders Group does not desire to purchase its fifty percent (50%) of the ROFO/R Shares, all of such ROFO/R Shares shall be offered to the Company.

• For clarity, the Company, Ucommune and the Founders Group shall ensure that the balance of the fund in both of the RMB Escrow Account and the Offshore Escrow Account shall at any time and at all times be no less than the then outstanding amount of the Loan and any accrued but unpaid interest thereof.

• Initially, the Founders Group (pro rata among themselves) and the Company shall each have the right to acquire fifty percent (50%) of the ROFO/R Shares.

More Definitions of Founders Group

Founders Group means the Founders and their respective Affiliates; provided that for purposes of this definition, Founders Group shall not include the Company or any of its Subsidiaries.

Founders Group means, Jxxx X. Xxxxxxx, Txxx X. Xxxxxxx, Pxxxx X. Xxxxxx, Rxxxxxx X. Xxxxx, Xx. and Jxxx X. Xxxxxx, to the extent their employment or other service with the Company has not been terminated. In consideration of the foregoing the parties hereby agree as follows:

Founders Group means Xxxxxx and Hannah but will exclude Xxxxx; and

Founders Group means Ofer Ben Zur, I.T.S Industrial Technologic Solutions Ltd., Ganadi Rosin, Asaf Bram and Avi Sterling.

Founders Group means (i) Eros Ventures Limited, (ii) Beech Investments Limited, (iii) the trustees for the time being of the Ganges Trust, (iv) Kishore Lulla and his estate, guardian, or conservator, (v) any Family Controlled Entity, (vi) the trustees, solely in their respective capacities as such, of any Family Trust and (vii) any custodian or bare nominee of any person referenced in clauses (i) through (vi) herein (each, a “Permitted Holder”).

Founders Group means (i) Beech Investments Limited; (ii) the trustees of the Olympus Trust; (iii) Xxxxx Xxxxx and Xxxxx Xxxxx and their respective estates, guardians, or conservators; (iv) the spouses of Xxxxx Xxxxx and Xxxxx Xxxxx and their estates, guardians, or conservators; (v) each descendant of Xxxxx Xxxxx and Xxxxx Xxxxx (each, a “Descendant”) and their respective estates, guardians, or conservators; (vi) any Family Controlled Entity; (vii) the trustees, solely in their respective capacities as such, of any Family Trust; and (viii) any custodian or bare nominee for any person referenced in clauses (i) through (vii) herein (each, a “Permitted Holder”).

Founders Group means to (i) Beech Investments Limited; (ii) the trustees of the Olympus Trust; (iii) Arjan Lulla and Vijay Ahuja and their respective estates, guardians, or conservators; (iv) the spouses of Arjan Lulla and Vijay Ahuja and their estates, guardians, or conservators; (v) each descendant of Arjan Lulla and Vijay Ahuja (each, a “Descendant”) and their respective estates, guardians, or conservators; (vi) any Family Controlled Entity; (vii) the trustees, solely in their respective capacities as such, of any Family Trust; and (viii) any custodian or bare nominee for any person referenced in clauses (i) through (vii) herein (each, a “Permitted Holder”).
