French Plant definition

French Plant means the manufacturing facility owned or operated by the Steering Business located at Strasbourg, France.
French Plant means the facility of the Seller located at ▇▇▇ ▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇-▇▇▇▇▇-▇▇▇▇▇▇ (France).

  • At any time prior to Closing, upon formal written notice to Delphi, the GM Buyers, or any of them, may elect to exclude from the transactions contemplated by this Agreement the assets and related Liabilities related to the Manufacturing Facility located in Gurgaon, India or the French Plant and the Paris Technical Center.

  • In connection with the French Plant Sale, Parent will enter into (1) a contract manufacturing agreement for the manufacture of the products of the Galleria Business made at the Sarreguemines, France facility, which agreement will be assignable to SplitCo, and (2) a contract manufacturing agreement for the manufacture of the Parent Group’s non-Galleria Business products.

  • The Seller operates the Arc Business in the French Plant pursuant to the French Leaseholds detailed in Schedule 6.1(Q) which shows the dates of each lease, their durations and the lessor’s details.

  • The provisions of the confidentiality and non-disclosure agreement dated 2 March 2016 (the “NDA”) shall continue to apply, save that the solicitation by the Buyer of those Transferred Employees located in the French Plant who do not dedicate a majority of their time to the Arc Business (with a view to those Transferred Employees transferring voluntarily to the Buyer on the Effective Date) shall not be deemed to be a breach of paragraph 4 of the NDA (Non-solicitation).
