Fulfillment of Covenants. All the terms, covenants and conditions of this Agreement to be complied with and performed by INAT at or before the Closing Date shall have been duly complied with and performed.
Fulfillment of Covenants. All of the covenants, terms and conditions of this Agreement to be complied with by Purchaser and/or Parent on or before the Closing Date shall have been complied with in all material respects. In connection therewith, Parent and Purchaser shall deliver to the Sellers’ Representative a certificate to such effect on the Closing Date.
