Full Alliance definition

Full Alliance or “Holdco”) and to cause the Commitment (as hereinafter defined) to be contributed by Full Alliance to Yongye International Limited, a Cayman Islands exempted company with limited liability (the “Parent”). It is contemplated that, pursuant to an Agreement and Plan of Merger (the “Merger Agreement”), entered into concurrently herewith among Yongye International, Inc., a Nevada corporation (the “Company”), Full Alliance, Parent and Yongye International Merger Sub Limited, a Nevada corporation and a wholly owned subsidiary of Parent (“Merger Sub”), Merger Sub will merge with and into the Company, with the Company surviving the merger as a wholly owned subsidiary of Parent (the “Merger”). Each capitalized term used and not defined herein shall have the meaning ascribed to it in the Merger Agreement. This letter agreement is being delivered together with the equity commitment letter, dated as of the date hereof, from Lead Rich International Limited, a British Virgin Islands business company with limited liability, to Full Alliance and Parent setting forth its commitment to Parent, on the terms and subject to the conditions set forth therein, to purchase certain indirect equity interests of Parent (the “Sponsor Commitment Letter”) (together, the “Equity Commitment Letters”).
Full Alliance means Full Alliance International Limited.
Full Alliance means Full Alliance International Limited, a company incorporated in the British Virgin Islands.

Examples of Full Alliance in a sentence

  • For the avoidance of any doubt, none of the following actions by Full Alliance, Parent or Merger Sub: (i) amending the Merger Agreement, or (ii) waiving any closing condition thereunder, shall be effective, unless such action has been approved in writing by each of the Investors (including Lead Rich).

  • Subject to Section 1.5(c), MSPEA and Full Alliance shall be jointly and severally responsible for all fees and expenses of the Escrow Agent and shall promptly pay all such fees and expenses upon receipt of a request for payment from the Escrow Agent.

  • Mr. Wu and Full Alliance have retained Skadden, Arps, Slate, Meagher & Flom LLP as its legal counsel, MSPEA has retained Paul, Weiss, Rifkind, Wharton & Garrison LLP as its legal counsel and Abax Global Capital has retained Weil, Gotshal & Manges LLP as its legal counsel in connection with this proposal and the Acquisition.

  • Parent has delivered to the Company true and complete copies of (a) the Contribution Agreement, (b) the Voting Agreement, (c) the Limited Guarantee, (d) the Financing Commitments, and (e) that certain interim investor agreement by and among Mr. Zishen Wu, Xx. Xxxxxxx Xxxxx, Full Alliance, MSPEA and the Sponsor dated as of the date hereof (collectively, the “Buyer Group Contracts”), including all amendments thereto or modifications thereof.

  • In accordance with Section 1.2 of this Agreement, each Investor hereby consents to Full Alliance, Parent and Merger Sub entering into Amendment No. 1 with the Company.

  • For the securities contemplated in Sections 23.1.1 and 23.1.2, the parties thereto shall properly execute relevant Guarantee Contracts or Pledge Contract (as applicable) after share structure of Full Alliance is finalized pursuant to the plan accepted by the Lender (but in no event later than the drawdown of the Facility).

  • Xx. Related to Full Alliance

  • Alliance means the Public Service Alliance of Canada;

  • Historically black college or university means an institution determined by the Secretary of Education to meet the requirements of 34 CFR 608.2.

  • CS means the New York State Department of Civil Service. “DOB” shall mean New York State Division of the Budget. “EEO” shall mean Equal Employment Opportunity.

  • CIMA means the Cayman Islands Monetary Authority;

  • DS Electric generation service that is provided at retail pursuant to the Applicable Legal Authorities under the Company’s retail electric tariffs and under any other agreements or arrangements between the Company and Customers, to any Customer that is not being served by an EGS. Default Allocation Assessment – shall have the meaning ascribed to it under the PJM Agreements. Delivery Period – The delivery period specified in an Appendix C Transaction Confirmation. Delivery Point – Means the applicable zone of the Company as designated by PJM. DS Customer(s) – Retail customers who are provided Default Service pursuant to the terms of this Agreement, the Applicable Legal Authorities and the Company’s retail tariffs.

  • BT or "CT" under the column "LN FEATURE," indicating that the Mortgage Loan is secured by a second or vacation residence; and

  • Director-General means the Director-General of the Department;

  • TMC means the Thane Municipal Corporation constituted under the BPMC act 1949 (Act No. L1 x 1949).

  • DMC means “Details Marks Certificate”

  • DPS means the Department of Public Safety of the State of Texas, a state agency in the executive branch created under Tex. Gov’t Code Ch. 411.

  • CTI means Castle Transmission International Limited.

  • Retail choice means the ability of retail customers to shop for

  • Retail Client means a client who is not a professional client;

  • TM has the meaning set forth in Section 10.2.

  • CMBI means Chase Manhattan Bank International, an indirect wholly-owned subsidiary of Bank, located in Moscow, Russia, and any nominee companies appointed by it.

  • CVC means Citicorp Venture Capital, Ltd., a New York corporation.

  • LTC shall have the meaning set forth in the introductory paragraph hereof.
