Full Alliance definition

Full Alliance or “Holdco”) and to cause the Commitment (as hereinafter defined) to be contributed by Full Alliance to Yongye International Limited, a Cayman Islands exempted company with limited liability (the “Parent”). It is contemplated that, pursuant to an Agreement and Plan of Merger (the “Merger Agreement”), entered into concurrently herewith among Yongye International, Inc., a Nevada corporation (the “Company”), Full Alliance, Parent and Yongye International Merger Sub Limited, a Nevada corporation and a wholly owned subsidiary of Parent (“Merger Sub”), Merger Sub will merge with and into the Company, with the Company surviving the merger as a wholly owned subsidiary of Parent (the “Merger”). Each capitalized term used and not defined herein shall have the meaning ascribed to it in the Merger Agreement. This letter agreement is being delivered together with the equity commitment letter, dated as of the date hereof, from Lead Rich International Limited, a British Virgin Islands business company with limited liability, to Full Alliance and Parent setting forth its commitment to Parent, on the terms and subject to the conditions set forth therein, to purchase certain indirect equity interests of Parent (the “Sponsor Commitment Letter”) (together, the “Equity Commitment Letters”).
Full Alliance means Full Alliance International Limited.
Full Alliance means Full Alliance International Limited, an international business company incorporated under the laws of the British Virgin Islands.

Examples of Full Alliance in a sentence

  • The Investors shall have the sole power, authority and discretion to direct the actions of Full Alliance, Parent and Merger Sub in all matters in respect of the Merger Agreement.

  • Full Alliance Group, Inc., and neither of its predecessors Beverly Hills Group, Inc., and The Motion Picture Hall of Fame, Inc., have had any trading suspension orders issued by the SEC concerning the issuer since inception.

  • Mr. Wu and Full Alliance have retained Skadden, Arps, Slate, Meagher & Flom LLP as its legal counsel, MSPEA has retained Paul, Weiss, Rifkind, Wharton & Garrison LLP as its legal counsel and Abax Global Capital has retained Weil, Gotshal & Manges LLP as its legal counsel in connection with this proposal and the Acquisition.

  • In accordance with Section 1.2 of this Agreement, each Investor hereby consents to Full Alliance, Parent and Merger Sub entering into Amendment No. 1 with the Company.

  • DS Electric generation service that is provided at retail pursuant to the Applicable Legal Authorities under the Company’s retail electric tariffs and under any other agreements or arrangements between the Company and Customers, to any Customer that is not being served by an EGS. Default Allocation Assessment – shall have the meaning ascribed to it under the PJM Agreements. Delivery Period – The delivery period specified in an Appendix C Transaction Confirmation.
