Full or Participating GP Member definition

Full or Participating GP Member means a Full Member of GP or a Participating Member of GP, which has selected the TEE Committee for participation purposes, as each is further defined in the By-laws of GP, and remains in ‘good standing,’ as further defined in the By-laws of GP.

  • Notwithstanding the foregoing, Company may assign this Agreement, including all of its rights and obligations under this Agreement, to any successor of its business that at the time is a Full or Participating GP Member in “good standing”; provided, however, that any such assignment will not relieve Company of any of its obligations under this Agreement.

  • Company fails to maintain compliance with the relevant standards on which all of its Qualifications are based or any of the requirements for such Qualifications, other than as a result of Company’s failure to be a Full or Participating GP Member in “good standing”.

  • In order to obtain and maintain any GP Test Tool Qualification or GP Lab Qualification, Company must be, or must be a Subsidiary of, a Full or Participating GP Member, which: (a) is in “good standing” in accordance with the By-laws of GP; and (b) pays and continues to pay all fees associated with its GP membership (including without limitation, annual member dues, assessments and any other fees relating to GP membership) within 45 days of the date when due (an “Eligible Member”).

  • In order to obtain and maintain any GP Test Tool Qualification, Company must be, or must be a Subsidiary of, a Full or Participating GP Member, which: (a) is in “good standing” in accordance with the By-laws of GP; and (b) pays and continues to pay all fees associated with its GP membership (including without limitation, annual member dues, assessments and any other fees relating to GP membership) within 45 days of the date when due (an “Eligible Member”).

  • As further described in the TEE Certification Process Document, an Evaluation Laboratory must (among other things): (a) be a Full or Participating GP Member in good standing; (b) be a participant in the TEE Security Laboratory and TEE Attack Expert Working Groups within the GP TEE Committee; (c) have a valid ISO 17025 certificate and accreditation of a recognized certification scheme; (d) have appropriate TEE expertise and training; and (e) maintain Insurance as defined in this Agreement.

Related to Full or Participating GP Member

  • Full Member means any person who is in one of the categories of membership referred to in Rule 10.3.

  • Participating member means a member who is required to make mandatory contributions by the applicable retirement act to his or her health reimbursement account.

  • Participating Stockholder means a “Participating Stockholder” under the HBB Stockholders’ Agreement, HY Stockholders’ Agreement and NACCO Stockholders’ Agreement, to the extent the Partnership owns HBB Class B Shares, HY Class B Shares or NACCO Class B Shares. A Partner shall cease to be a Participating Stockholder under this Agreement and shall be deemed to be a Former Partner immediately prior to any event or lapse of time that causes such Partner to no longer be a “Participating Stockholder” under such applicable stockholders’ agreements.

  • New member means a person first employed on or after Septem- ber 1, 2005, including a former member who withdrew retirement contributions under Government Code 822.003 and is reemployed on or after September 1, 2005.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Unitholder means a person holding units in the scheme of the Mutual Fund.

  • Other Member means a Voting Member who is not an Eligible Account Holder or a Supplemental Eligible Account Holder.

  • Related member means a person that, with respect to the taxpayer during all or any portion of the taxable year, is either a related entity, a component member as defined in section 1563(b) of the Internal Revenue Code, or a person to or from whom there is attribution of stock ownership in accordance with section 1563(e) of the Internal Revenue Code except, for purposes of determining whether a person is a related member under this division, "twenty per cent" shall be substituted for "5 percent" wherever "5 percent" appears in section 1563(e) of the Internal Revenue Code.
