Notwithstanding the foregoing, Company may assign this Agreement, including all of its rights and obligations under this Agreement, to any successor of its business that at the time is a Full or Participating GP Member in “good standing”; provided, however, that any such assignment will not relieve Company of any of its obligations under this Agreement.
Company fails to maintain compliance with the relevant standards on which all of its Qualifications are based or any of the requirements for such Qualifications, other than as a result of Company’s failure to be a Full or Participating GP Member in “good standing”.
All times while this Agreement is in effect, Licensee must be, or must be a Subsidiary of, a Full or Participating GP Member that (a) is in “good standing” in accordance with the By-laws of GP and (b) pays and continues to pay all fees associated with its GP membership (including without limitation, annual member dues, assessments and any other fees relating to GP membership) within 45 days of the date when due.
As further described in the SESIP Governance Document, a CB must (among other things): (a) be a Full or Participating GP Member in good standing; (b) be a participant in the GlobalPlatform Security Task Force; (c) have a valid ISO 17065 certificate and accreditation of a recognized certification scheme; (d) be licensed for SESIP L1-L3 or SESIP L1-L5; (e) have appropriate SESIP expertise and training; and (f) maintain Insurance as defined in this Agreement.
In order to obtain and maintain any GP Test Tool Qualification or GP Lab Qualification, Company must be, or must be a Subsidiary of, a Full or Participating GP Member, which: (a) is in “good standing” in accordance with the By-laws of GP; and (b) pays and continues to pay all fees associated with its GP membership (including without limitation, annual member dues, assessments and any other fees relating to GP membership) within 45 days of the date when due (an “Eligible Member”).
