Funded Commitment definition

Funded Commitment. As defined in Section 3.2(a).
Funded Commitment means, with respect to any Partner and each Capital Commitment, such Partner’s aggregate Capital Contributions previously made in respect of such Capital Commitment.
Funded Commitment means, in respect of a Partner, the amount of Invested Capital, whether or not returned to such Partner, attributable to Investments which, at the date of determination, have not been the subject of a Disposition; provided that, such amount shall not include any amount distributed to Partners pursuant to Section 4.8(d).

  • Each Limited Partner electing to become an "inactive partner" shall have no further right or obligation to make an Additional Capital Contribution in respect of its Subscription, the Unfunded Subscription of such Limited Partner shall be deemed to be reduced to zero and any further Management Fees shall be calculated as to such "inactive Partner," based on such "inactive Partner's" Funded Commitment as of the date of such election at the rate of one and one-half percent (1.5%).

More Definitions of Funded Commitment

Funded Commitment means, in respect of each Unit held by a Limited Partner at any particular time, the aggregate amount of Capital Contributions previously made in respect of such Unit less any amount distributed to such Limited Partner and restored to the Unfunded Commitment of such Limited Partner pursuant to §5.2, and “Funded Commitments” will mean the aggregate of all such Funded Commitments for all of the Limited Partners;
Funded Commitment. As defined in Section 3.2(a). “GAAP”: Generally accepted accounting principles in the United States, consistently applied. “GM Investor Rights Agreement”: The Amended and Restated Investor Rights Agreement, dated as of December 23, 2003, among Hines, the Partnership, NY Trust, General Motors Investment Management Corporation and the other Persons party thereto. “Gross Asset Value”: With respect to any Partnership asset, the asset’s adjusted basis for federal income tax purposes, except as follows: (i) The initial Gross Asset Value of any asset contributed by a Partner to the Partnership shall be the gross fair market value of such asset, as determined by the Managing General Partner and agreed to by the Contributing Partner; (ii) The Gross Asset Value of all Partnership assets shall be adjusted to equal their respective gross fair market values, as determined by the Managing General Partner (which determination shall be based upon, and consistent with, the most recent Current Market Values), as of the following times: (a) the acquisition of an additional interest in the Partnership by any new or existing Partner in exchange for more than a de minimis Capital Contribution; (b) the distribution by the Partnership to a Partner of more than a de minimis amount of Partnership property as consideration for an interest in the Partnership; (c) the
Funded Commitment means the amount of the Commitment less the aggregate principal amount of Retained Bonds held by or on behalf of the Issuer;
Funded Commitment means the amount of Capital Contributions, whether or not returned to the Partners, invested by the Partnership in the Project which, at the date of determination, have not been the subject of a Disposition.
Funded Commitment means as to each Lender, the amount of Loans advanced by such Lender and evidenced by a Note or acquired by such Lender as set forth in the applicable Assignment and Acceptance Agreement as being assigned to such Lender, or as adjusted as appropriate to reflect any assignments to or by such Lender of such Notes effected in accordance with Section 12.5.

  • Unfunded Commitment means, with respect to each Lender, the Revolving Commitment of such Lender less its Revolving Exposure.

  • Unfunded Commitments means legally binding investment commitments that are tracked and recorded by the institution's financial reporting system.

  • Extended Commitment means the Commitments, the maturity of which shall have been extended pursuant to Section 2.25.

  • Extended Commitments means the Extended Term Loan Commitments and the Extended Revolving Commitments.

  • Tranche C Commitment means, as to each Lender, its obligation to (a) make Committed Loans to TFA pursuant to Section 2.1(c) and (b) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.1 as its “Tranche C Commitment” or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • U.S. Revolving Commitment means the commitment of a Lender to make or otherwise fund any U.S. Revolving Loan and to acquire participations in U.S. Letters of Credit and Swing Line Loans hereunder and “U.S. Revolving Commitments” means such commitments of all Lenders in the aggregate. The amount of each Lender’s U.S. Revolving Commitment, if any, is set forth on Schedule 1.01(c) or in the applicable Assignment Agreement or Joinder Agreement, as applicable, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the U.S. Revolving Commitments as of the Restatement Date is $265,000,000.

  • Extended Revolving Commitment shall have the meaning assigned to such term in Section 2.19(a).

  • Unused Revolving Commitment means, for any Lender at any time, the excess of (i) such Lender’s Revolving Commitment at such time over (ii) such Lender’s Revolving Facility Exposure at such time.

  • Designated Revolving Commitments means the amount or amounts of any commitments to make loans or extend credit on a revolving basis to the Company or any of its Restricted Subsidiaries by any Person other than the Company or any of its Restricted Subsidiaries that has or have been designated (but only to the extent so designated) in an Officers’ Certificate delivered to the Trustee as “Designated Revolving Commitments” until such time as the Company subsequently delivers an Officers’ Certificate to the Trustee to the effect that the amount or amounts of such commitments shall no longer constitute “Designated Revolving Commitments.”

  • Aggregate Revolving Commitment means the aggregate amount of the Revolving Commitments of all of the Lenders, as reduced or increased from time to time pursuant to the terms and conditions hereof. As of the Effective Date, the Aggregate Revolving Commitment is $200,000,000.

  • Available Unused Commitment means, with respect to a Revolving Facility Lender under any Class of Revolving Facility Commitments at any time, an amount equal to the Dollar Equivalent of the amount by which (a) the applicable Revolving Facility Commitment of such Revolving Facility Lender at such time exceeds (b) the applicable Revolving Facility Credit Exposure of such Revolving Facility Lender at such time.

  • Extended Revolving Commitments has the meaning specified in Section 2.16(2).

  • Unused Commitments means an amount equal to all unadvanced funds (other than unadvanced funds in connection with any construction loan) which any third party is obligated to advance to Borrower or another Person or otherwise pursuant to any loan document, written instrument or otherwise.

  • Unused Total Revolving Commitment means, at any time, the excess of (i) the Total Revolving Commitment at such time over (ii) the Aggregate Revolving Facility Exposure at such time.

  • Total Revolving Commitment means the sum of the Revolving Commitments of the Lenders as the same may be decreased or increased pursuant to the terms of this Agreement. As of the Closing Date, the amount of the Total Revolving Commitment is $250,000,000.

  • Revolving Commitment means, as to each Lender, its obligation to (a) make Revolving Loans to the Borrower pursuant to Section 2.01, (b) purchase participations in L/C Obligations, and (c) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Unused Commitment means at any date, with respect to any Bank, an amount equal to its Commitment less the aggregate outstanding principal amount of its Syndicated Loans (but not its Money Market Loans).

  • Unutilized Commitment means, with respect to any Lender at any time, such Lender's Commitment at such time less the aggregate principal amount of all Loans made by such Lender that are outstanding at such time.

  • Existing Revolving Commitments has the meaning assigned to such term in Section 2.27(a).

  • LOC Commitment means the commitment of the Issuing Lender to issue Letters of Credit and with respect to each Revolving Lender, the commitment of such Revolving Lender to purchase Participation Interests in the Letters of Credit up to such Lender’s Revolving Commitment Percentage of the LOC Committed Amount.

  • Incremental Revolving Commitment has the meaning assigned to such term in Section 2.14(a).

  • Aggregate Revolving Commitments means, collectively, all Revolving Commitments of all Lenders at any time outstanding.

  • Total Facility B Commitments means the aggregate of the Facility B Commitments, being US$830,000,000 at the date of this Agreement.

  • Revolving Commitment Period the period from and including the Closing Date to the Revolving Termination Date.

  • Total Revolving Commitments at any time, the aggregate amount of the Revolving Commitments then in effect.
