Funding Shortfall Amount definition

Funding Shortfall Amount means the excess, if any, of (a) the product of the Fraction times 100% of the dollar amount of the Funding Shortfall, minus (b) the sum of the General Program Funding Shortfall Amount, if any, paid by Buyer, and the First Funding Shortfall Amount, if any, paid by Buyer. If it is deemed that no Funding Shortfall Event has occurred, the Funding Shortfall Amount shall be deemed to be zero.
Funding Shortfall Amount means the portion of the Debt Financing that becomes unavailable as a result of a Financing Failure Event.
Funding Shortfall Amount means, at any time, an amount equal to the sum of: (a) the aggregate of: (i) the amount of Project Costs due and payable at that time; and (ii) all Senior Secured Liabilities (excluding Financing Costs which constitute Project Costs) which are due and payable but unpaid at that time; minus: (b) the Available Funding at that time, but excluding for this purpose the undrawn and uncancelled Total Commitment if and to the extent that such Total Commitment is not available to be drawn in accordance with the provisions of the Senior Finance Documents at that time due to any failure or inability of the Borrower to satisfy any of the conditions specified in Clause 3 (Conditions Precedent) of the Common Terms Agreement.

  • In the event that the Agent transfers any commitments relating to the Agent Funding Shortfall Amount to the Underwriters pursuant to Section 1, and in consideration of the Agent receiving the Purchase Price, the Agent hereby assigns to each such Underwriter its Relevant Percentage of any Make Whole Amount that is payable to the Agent by any Defaulting Lender pursuant to the Refinancing Facilities Agreement and that has not been received by the Agent on or before the Agent Purchase Date.
