Global Registered Note definition

Global Registered Note means a Global Registered Note substantially in the form set out in Schedule 10 (Form of Global Registered Note) of the Programme Manual;

Global Registered Note means a Global Registered Note representing Notes sold outside the United States in reliance on Regulation S; and

Global Registered Note means a Regulation S Global Registered Note, a Rule 144A Global Registered Note, an Unrestricted Global Registered Note or a Restricted Global Registered Note.

• Global Registered Note registered in the name of a nominee for a common depositary for Euroclear and Clearstream, Luxembourg exchangeable for Individual Note Certificates in the limited circumstances described in the Global Registered Note.

• If the Global Registered Note becomes exchangeable for Individual Note Certificates in accordance with its terms, the Registrar shall authenticate and deliver to each person designated by a Clearing System an Individual Note Certificate in accordance with the terms of this Agreement and the Global Registered Note.

• Each replacement Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or Individual Note Certificate delivered hereunder shall bear a unique certificate or (as the case may be) serial number.

• The Issuer hereby authorises and instructs the Fiscal Agent to elect an ICSD to be Common Safekeeper for each issue of an NGN Temporary Global Note or an NGN Permanent Global Note, or a Global Registered Note to be held under the NSS in relation to which one of the ICSDs must be Common Safekeeper.

More Definitions of Global Registered Note

Global Registered Note means a Note in or substantially in the form set out in Part II of the Fourth Schedule hereof;

Global Registered Note means a Registered Note in global form substantially in the form (subject to completion and amendment and as supplemented or varied in accordance with the relevant Final Terms) set out in Part IV of Schedule 1 (Form of Global Registered Note).

Global Registered Note is to a Registered Note in or substantially in the form set out in Schedule 5 (Form of Global Registered Note) to this Agreement;

Global Registered Note means a Global Registered Note substantially in the form set out in Schedule 3, Part A (Form of Global Registered Note) of the Trust Deed;

Global Registered Note means a Registered Note representing Notes in Registered form that are registered in the name of a nominee for Euroclear, Clearstream, Luxembourg and/or any other clearing system and substantially in the form set out in Schedule 5 hereto;
