Global Registered Note definition

Global Registered Note means a Global Registered Note substantially in the form set out in Schedule 10 (Form of Global Registered Note) of the Programme Manual;

Global Registered Note means a Global Registered Note representing Notes sold outside the United States in reliance on Regulation S; and

Global Registered Note means a Regulation S Global Registered Note, a Rule 144A Global Registered Note, an Unrestricted Global Registered Note or a Restricted Global Registered Note.

• If the Global Registered Note becomes exchangeable for Individual Note Certificates in accordance with its terms, the Registrar shall authenticate and deliver to each person designated by a Clearing System an Individual Note Certificate in accordance with the terms of this Agreement and the Global Registered Note.

• No Agent shall be responsible for or liable in respect of the legality, validity or enforceability of any Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or Individual Note Certificate or any act or omission of any other person (including, without limitation, any other Agent).

• The Issuer hereby authorises and instructs the Fiscal Agent to elect an ICSD to be Common Safekeeper for each issue of an NGN Temporary Global Note or an NGN Permanent Global Note, or a Global Registered Note to be held under the NSS in relation to which one of the ICSDs must be Common Safekeeper.

• Any Paying Agent which receives a Put Option Notice in respect of Notes represented by a Permanent Global Note or a Global Registered Note shall make payment of the relevant redemption moneys and interest accrued to the Optional Redemption Date (Put) in accordance with the Conditions, Clause 8 (Payments to Noteholders) and the terms of the Permanent Global Note or Global Registered Note, as the case may be.

More Definitions of Global Registered Note

Global Registered Note means a Note in or substantially in the form set out in Part II of the Fourth Schedule hereof;

Global Registered Note means a Registered Note in global form substantially in the form (subject to completion and amendment and as supplemented or varied in accordance with the relevant Final Terms) set out in Part IV of Schedule 1 (Form of Global Registered Note).
