Global Note definition

Global Note shall have the meaning specified in Section 2.05(b).

Global Note means a Note in registered global form without interest coupons.

Global Note means a Note that is represented by a certificate substantially in the form set forth in Exhibit A, registered in the name of the Depositary or its nominee, duly executed by the Company and authenticated by the Trustee, and deposited with the Trustee, as custodian for the Depositary.

Examples of Global Note in a sentence

• Physical Notes issued in exchange for all or a part of the Global Note pursuant to this Section 2.05(c) shall be registered in such names and in such authorized denominations as the Depositary, pursuant to instructions from its direct or indirect participants or otherwise, or, in the case of clause (iii) of the immediately preceding paragraph, the relevant beneficial owner, shall instruct the Trustee in writing.

• Without unreasonable delay, the Company shall execute and deliver to the Trustee or such authenticating agent Physical Notes (other than any Global Note) and thereupon any or all temporary Notes (other than any Global Note) may be surrendered in exchange therefor, at each office or agency maintained by the Company pursuant to Section 4.02 and the Trustee or such authenticating agent shall authenticate and deliver in exchange for such temporary Notes an equal aggregate principal amount of Physical Notes.

• The Global Note will be made available for inspection by the Representatives not later than 1:00 p.m., New York City time, on the business day prior to the Closing Date.

• SCHEDULE A7 The initial principal amount of this Global Note is _______ DOLLARS ($[_________]).

• Each Global Note shall bear the legend required on a Global Note set forth in Exhibit A hereto.

More Definitions of Global Note

Global Note means a permanent Global Note that is in the form of Note attached hereto as Exhibit A and that is deposited with the Notes Custodian and registered in the name of the Depositary or the nominee of the Depositary.

Global Note means a Temporary Global Note and/or a Permanent Global Note, as the context may require;

Global Note has the meaning provided in Section 2.01.

Global Note means any Note registered in the name of the Depository or its nominee, beneficial interests of which are reflected on the books of the Depository or on the books of a Person maintaining any account with such Depository (directly or as an indirect participant in accordance with the rules of such Depository). The Global Note shall include the Rule 144A Global Notes and the Regulation S Global Notes.

Global Note means any Note that is a Global Security.

Global Note has the meaning specified in Section 2.02.

Global Note means a single permanent fully-registered global note in book-entry form, without coupons, substantially in the form of Exhibit A attached hereto.
