Going Public Event definition

Going Public Event means (i) the Company’s offering of securities on a registration statement pursuant to the Securities Act or the Company’s merger, reverse merger, consolidation, transfer, or share exchange transaction pursuant to which the Company becomes subject to the reporting requirements of the Exchange Act and (ii) the contemporaneous listing or quoting of the Common Stock on a Trading Market.

  • Each Special Warrant will automatically convert, for no additional consideration and no further action by the holder, into 0.2 of a Wmode share if Wmode does not become a publicly traded issuer (the "Going Public Event") on or before the date which is nine (9) months from the closing of the first tranche of the First Wmode Private Placement (the "Going Public Deadline").

More Definitions of Going Public Event

Going Public Event means the earlier to occur of (i) Company’s offering of securities pursuant to an effective registration statement pursuant to the Securities Act or (ii) the Company’s merger, consolidation, transfer, or share exchange transaction pursuant to which the Company becomes subject to the reporting requirements of the Exchange Act; provided, however, that, for purposes of clarity, the filing of an offering circular on Form 1-A, as amended, with the Commission under Regulation A shall not be a Going Public Event.

Going Public Event. A Going Public Event shall mean any event after which the new common stock of the Company outstanding after the approval of the Plan ("Newco Stock") shall become publicly traded, including but not limited to (1) the filing of a Form 10-SB and form 15C-211 and the commencement of public trading of the Company's common stock, (2) a merger or acquisition by an existing Public corporation, (3) a merger with a subsidiary of a Public corporation or a Public Shell and subsequent Spin-Off of the subsidiary's stock to the Public Shell's shareholders. Going Public Event means the consummation of (i) an initial public offering of any of the Company's securities, or (ii) any merger, business combination or other transaction by which the Company is combined with or becomes owned by a company which is a reporting company under the Securities Exchange Act of 1934, as amended.
