Other Transaction definition

Other Transaction means a transaction or series of related transactions (other than the Merger) resulting in (a) any change in control of the Company, (b) any merger or consolidation of the Company or any of its Subsidiaries, regardless of whether the Company or such Subsidiary is the surviving Entity, (c) any tender offer or exchange offer for, or any acquisition of, any securities of the Company, or (d) any sale or other disposition of assets of the Company of any Subsidiary not otherwise permitted under Section 3.18. Participating Agreement will have the meaning given to it in the Preamble. Participating Companies will mean the Company and the Other Participating Companies.

Other Transaction means a transaction that—

Other Transaction means the Transaction governed by the Other Agreement and on the same economic terms as the Replaced Transaction, with the same Trade Date as the Replaced Transaction, and as specified as such in the relevant Substitution Notice;

Examples of Other Transaction in a sentence

• In accordance with 10 U.S.C. § 2371b(f), the Government may award a follow-on production contract or Other Transaction (OT) for any OT awarded under this BAA if: (1) that participant in the OT, or a recognized successor in interest to the OT, successfully completed the entire prototype project provided for in the OT, as modified; and (2) the OT provides for the award of a follow-on production contract or OT to the participant, or a recognized successor in interest to the OT.

• Proposers responding to this BAA requesting a Grant, Cooperative Agreement, Technology Investment Agreement, or Other Transaction for Prototypes shall follow the applicable rules and regulations governing these various award instruments, but, in all cases, should appropriately identify any potential restrictions on the Government’s use of any Intellectual Property contemplated under the award instrument in question.

• Proposers responding to this BAA requesting a Grant, Cooperative Agreement, Technology Investment Agreement, or Other Transaction for Prototype shall follow the applicable rules and regulations governing these various award instruments, but in all cases should appropriately identify any potential restrictions on the Government’s use of any Intellectual Property contemplated under those award instruments in question.

• The Government reserves the right to award a contract or an Other Transaction for any purpose, to include a prototype, under this CSO.

• DARPA/I2O will employ an electronic upload submission system (https://baa.darpa.mil/) for UNCLASSIFIED proposals requesting award of a procurement contract or Other Transaction under this solicitation.

More Definitions of Other Transaction

Other Transaction means the "Transaction" as defined in the Other Participation Agreement.

Other Transaction shall have the meaning specified in Section 6.04.

Other Transaction means: (a) any transaction, other than Transactions, entered into by you with any Citi Company which is: (i) a rate swap transaction, swap option, basis swap, forward rate transaction, commodity swap, commodity option, equity or equity index swap, equity or equity index option, bond option, interest rate option, foreign exchange transaction, cap transaction, floor transaction, collar transaction, currency swap transaction, cross-currency rate swap transaction, currency option, credit protection transaction, credit swap, credit default swap, credit default option, total return swap, credit spread transaction, repurchase transaction, reverse repurchase transaction, buy/sell-back transaction, securities lending transaction, weather index transaction or forward purchase or sale of a security, commodity or other financial instrument or interest (including any option with respect to any of these transactions); or (ii) a type of transaction that is similar to any transaction referred to in (i) above that is currently, or in the future becomes, recurrently entered into in the financial markets (including terms and conditions incorporated by reference in such agreement) and which is a forward, swap, future, option or other derivative on one or more rates, currencies, commodities, equity securities or other equity instruments, debt securities or other debt instruments, economic indices or measures of economic risk or value, or other benchmarks against which payments or deliveries are to be made; or(b) any combination of the transactions listed in (a) above, entered into by you with any Citi Company;

Other Transaction means any of the following, other than the Merger as contemplated by this Agreement: (A) a merger, consolidation, share exchange, exchange of securities, reorganization, business combination or other similar transaction involving the SeaMED; (B) a sale, lease, transfer or other disposition of all or a significant portion of the total assets of SeaMED in a single transaction or series of related transactions; (C) a sale of, or tender offer or exchange offer for, or acquisition by any Person or group of beneficial owners of, fifteen percent (15%) or more of the outstanding shares of capital stock of SeaMED in a single transaction or series of related transactions; or (D) a public announcement of a proposal, plan, intention or agreement to do any of the foregoing.

Other Transaction has the meaning ascribed to such term in Section 3.01(a).

Other Transaction means any transaction or arrangement, other than a Short Term Commodity Transaction or a Long Term Commodity Transaction, and Related Agreements thereto, which may include agreements and transactions related to Risk Management Services or Ancillary Services.
