Any obligation of the Corporation or action or event contemplated by this Agreement shall be subject to the receipt of any requisite approval or consent from any governmental or regulatory authority, and without limiting the generality of the foregoing, any necessary approvals of the TSX Venture Exchange and other exchanges will be obtained, such as to the issuance of Common Shares upon the exercise of Rights under subsection 3.1(d).
This Agreement is effective and in full force and effect in accordance with its terms from and after the date hereof, subject to any required governmental or regulatory approval, including approval by the TSX Venture Exchange, and provided that any prior Shareholder Rights Plan Agreements are thereby terminated.
Notwithstanding anything to the contrary in this Agreement, no supplement or amendment to this Agreement or to the terms of the Rights may be made without the prior consent of the TSX Venture Exchange, if necessary.
