Governance Framework definition

Governance Framework means the governance terms for the CGIAR Fund adopted by the Fund Council, as such document may be amended by the Fund Council from time to time in accordance with its terms.

Governance Framework means the governance framework entitled “Governance Mattersin respect of the conduct of the Board which is approved by the Council as the same may be amended from time to time in accordance with this Agreement;

For the avoidance of doubt, except as expressly provided herein, the Company Board retains the power to control the strategic direction and decisions of the Company and its Subsidiaries.
