Gran Tierra Resources Limited Petrolifera Petroleum (Colombia) Limited Gran Tierra Callco ULC Gran Tierra Energy Cayman Islands Inc.
Callco has the meaning ascribed thereto in the introductory paragraph;
CMBI means Chase Manhattan Bank International, an indirect wholly-owned subsidiary of Bank, located in Moscow, Russia, and any nominee companies appointed by it.
BHP means BHP Minerals Pty. Ltd. and its successors and assigns who are parties with the State to the Processing Agreement;
WFOE has the meaning set forth in the Preamble of this Agreement.
The Vendor means the person, firm, company or organization on whom the Purchase Order is placed and shall be deemed to include the vendor’s successors, representative heirs, executors and administrator as the case may be. It may also be referred to as Seller, Contractor or Supplier.
NSC means Norfolk Southern Corporation.
Portugal when used in a geographical sense comprises the territory of the Portuguese Republic in accordance with the International Law and the Portuguese legislation;
Crown means the government of the United Kingdom (including the Northern Ireland Assembly and Executive Committee, the Scottish Executive and the National Assembly for Wales), including, but not limited to, government ministers and government departments and particular bodies, persons, commissions or agencies from time to time carrying out functions on its behalf;
HKFE means the Hong Kong Futures Exchange Limited;
BTCo means Bankers Trust Company, in its individual capacity, and any successor corporation thereto by merger, consolidation or otherwise.
ULC means any unlimited company, unlimited liability company or unlimited liability corporation or any similar entity existing under the laws of any province or territory of Canada and any successor to any such entity.
Topco has the meaning set forth in the Preamble.
Acquireco has the meaning ascribed thereto in the recitals.
BVI means the British Virgin Islands.
Namibia means the Republic of Namibia and, when used in geographical sense, includes the territorial sea as well as the exclusive economic zone and the continental shelf over which Namibia exercises sovereign rights in accordance with its national and international laws concerning the exploration and exploitation of the natural resources of the sea-bed and its subsoil and the superjacent waters as defined in sections 2, 4, and 6 of the Territorial Sea and Exclusive Economic Zone of Namibia Act, 1990 (Act No. 3 of 1990);[definition of “Namibia” inserted by Act 13 of 2015]
Bidder from a country which shares a land border with India for the purpose of this Order means: -
the Companies Acts means every statute (including any orders, regulations or other subordinate legislation made under it) from time to time in force concerning companies in so far as it applies to the company;

Monte Titoli means Monte Titoli S.p.A.
CSDCC means the China Securities Depository and Clearing Co., Ltd. “CSRC” means the China Securities Regulatory Commission.
HK Company shall have the meaning ascribed to it in the preamble of this Agreement.
SBS means the New York City Department of Small Business Services.
SMP : means Significant Market Power;
Newco has the meaning set forth in the first paragraph of this Agreement.
SONIAi-pLBD means, in respect of any London Banking Day falling in the relevant Observation Period, the SONIA reference rate for the London Banking Day falling "p" London Banking Days prior to the relevant London Banking Day "i".
DPI means the North Carolina Department of Public Instruction.
