Grandfathered Shareholder definition

Grandfathered Shareholder means any Person who was a Beneficial Owner of Ordinary Shares as of the date of this Agreement unless, at any time after the date of this Agreement, such Person becomes the Beneficial Owner of additional Ordinary Shares and immediately after becoming the Beneficial Owner of such additional Ordinary Shares, such Person is the Beneficial Owner of a number of Ordinary Shares which represents more than 50% more Ordinary Shares than the number of Ordinary Shares of which the Person is the Beneficial Owner as of the date of this Agreement and such Person becomes the Beneficial Owner of such additional Ordinary Shares without the prior written approval of the Board of Directors of the Company.
Grandfathered Shareholder means any Person who as of the Close of Business on the date hereof was the Beneficial Owner of 15% or more of the Common Shares of the Corporation then outstanding. Any Grandfathered Shareholder who subsequent to the date hereof becomes the Beneficial Owner of less than 15% of the outstanding Common Shares shall cease to be a Grandfathered Shareholder.
Grandfathered Shareholder shall have the meaning set forth in Section 1(a)(iii).

More Definitions of Grandfathered Shareholder

Grandfathered Shareholder means any Person who or which would, as of the public announcement of this Rights Agreement (including any shares Beneficial Ownership of which is acquired on the date of such announcement pursuant to orders placed prior to becoming aware of such announcement), be deemed an “Acquiring Person,” unless and until such Person (together with all Related Persons) shall acquire after the adoption of this Rights Agreement, without the prior approval of the Board of Directors, Beneficial Ownership of any additional Common Shares (other than as a result of (i) a stock dividend, stock split, or similar transaction effected by the Company in which all registered holders of Common Shares are treated substantially equally, or (ii) the grant or issuance to such Person of options or rights to acquire Common Shares, and the subsequent exercise of such options or rights, pursuant to a stock option or stock incentive plan adopted by the Board and approved by the shareholders of the Company) while the Beneficial Owner of 10% or more of the Common Shares then outstanding.
Grandfathered Shareholder means a person:
Grandfathered Shareholder means (i) any Person who or which, together with all Affiliates and Associates of such Person, was, as of October 25, 1999 the Beneficial Owner of 15% or more of the outstanding shares of Common Stock of the Company and (ii) Mazama Capital Management, Inc. (“Mazama”), together with all Affiliates and Associates of Mazama. Notwithstanding the foregoing, any Grandfathered Shareholder who after the date hereof is, for any reason, the Beneficial Owner of less than 15% of the shares of Common Stock of the Company then outstanding shall cease to be a Grandfathered Shareholder.
Grandfathered Shareholder means at any time J. Lxxxxx Xxxxxxx who is the Beneficial Owner of 1,283,340 Common Shares on the date of this Agreement; provided that J. Lxxxxx Xxxxxxx shall not be a Grandfathered Shareholder if he makes an acquisition of Common Shares that would increase his beneficial ownership to 45% or more of the outstanding Common Shares. For purposes of this Section 1(n), an acquisition of shares shall include the exercise of stock options, but shall not include the grant of stock options.
Grandfathered Shareholder means Xxxxxx Xxxxxx who is the Beneficial Owner of 51,347,162 Common Shares on the date of this Agreement; provided, however that Xx. Xxxxxx shall cease to be a Grandfathered Shareholder at such time that Xx. Xxxxxx increases his Beneficial Ownership of Common Shares to more than 51,347,162 Common Shares (as appropriately adjusted to reflect any stock split, stock dividend or similar transaction by the Company on the outstanding Common Shares) except pursuant to acquisitions of Common Shares by Xx. Xxxxxx resulting from the exercise of stock options or pursuant to stock awards, in either case, that were granted in connection with his employment with the Company.
