Notwithstanding the preceding sentence, Seller shall take all necessary action to maintain all of its Gxxxxx Mxx Approvals at all times during the term of this Agreement.
Buyer shall provide notice to Gxxxxx Mxx within five (5) Business Days of any participation made in accordance with this Section 9.03(a).
Seller shall comply with the requirements of all applicable laws, rules, regulations and orders of any Governmental Authority and shall maintain its status with Gxxxxx Mxx as an approved issuer in accordance with applicable law and all rules, policies, procedures and standards of Gxxxxx Mxx.
Seller is approved by Gxxxxx Mxx as an approved issuer, and, to the extent necessary, approved by the Secretary of HUD pursuant to Sections 203 and 211 of the National Housing Act, as amended.
In each such case, Seller is in good standing, with no event having occurred, including a change in insurance coverage which would either make Seller unable to comply with the eligibility requirements for maintaining all such applicable approvals or require notification to Gxxxxx Mxx or to HUD, FHA or VA.
The Gxxxxx Mxx Contract is in full force and effect, and Seller has not been terminated as the servicer under the Gxxxxx Mxx Contract.
Greater than 25% of Seller’s servicing portfolio consisting of Gxxxxx Mxx loans is seized or terminated in any single event or series of events arising from the same or substantially similar circumstances or occurrences.
Buyer shall provide notice to Gxxxxx Mxx within five (5) Business Days of any assignment, pledge or hypothecation made in accordance with this Section 9.02(a).
Seller shall, within one (1) Business Day, notify Buyer in the event that it has voluntarily relinquished or delivered notice of its intent to sell or transfer Gxxxxx Mxx Contract rights constituting more than 50% of the aggregate Gxxxxx Mxx Contract rights of Seller with respect to Gxxxxx Mxx, in any event without Buyer’s prior express written consent.
Gxxxxx Mxx is a government agency within the Department of Housing and Urban Development which is intended to help finance government-assisted housing programs.
