Upon termination of the Employee’s employment for any reason, the Employee agrees to resign (or that he may be removed), as of the date of such termination and, to the extent applicable, from the Holdco Board and any committees thereof and any boards or similar governing bodies of any subsidiaries or affiliates of PGA and the Company.
