ICSD means any or each of Euroclear and Clearstream, Luxembourg;

  • Any reference in this Agreement to the records of an ICSD shall be to the records that each of the ICSDs holds for its customers which reflect the amount of such customers' interests in the Notes (but excluding any interest in any Notes of one ICSD shown in the records of another ICSD).

  • The applicable ICSD will in turn relay notices received from the Common Depository to its Participants in accordance with its rules and procedures.

  • Any certificate or other document issued by the relevant ICSD, as to the interest in such Shares standing to the account of any person shall be conclusive and binding as accurately representing such records.
