Imbalance Amount definition

Imbalance Amount has the meaning set forth in Section 3.3(f).] [Applicable only to tolling agreement.]
Imbalance Amount has the meaning set forth in Section 3.3(f).“Indemnifiable Loss” means any and all damages, claims, losses, liabilities, obligations, costs and expenses, including reasonable legal, accounting and other expenses, and the costs and expenses of any and all actions, suits, proceedings, demands (by any Person, including any Governmental Authority), assessments, judgments, settlements and compromises.
Imbalance Amount means, as determined separately for gaseous Hydrocarbons (excluding natural gas liquids), liquid Hydrocarbon (excluding natural gas liquids), and natural gas liquids, the contract price for such product in effect as of the Effective Time (or sales price, if there is not a contract price in effect as of the Effective Time).

Examples of Imbalance Amount in a sentence

  • For each day on which the Imbalance Amount is negative (e.g., (A) is less than (B)) by a margin of 1% or more, Seller shall owe Buyer an amount equal to (i) the absolute value of the Imbalance Amount, multiplied by the sum of the Gas Index Price, High and all transportation and distribution charges related to the Imbalance Amount that have been (or are to be) paid by Buyer, plus (ii) any penalties assessed by the LDC or interconnecting pipeline against Buyer that were incurred as a result of the deviation.

  • For each day on which the Imbalance Amount is positive (e.g., (B) is less than (A)) by a margin of 1% or more, Buyer shall owe Seller an amount equal to (i) the absolute value of the Imbalance Amount, multiplied by the sum of the Gas Index Price, Low multiplied by 15%, less (ii) any penalties assessed by the LDC or pipeline against Buyer that were incurred as a result of the deviation.

  • Upon Buyer’s receipt of such notice of disagreement, Buyer and Seller shall, during the fifteen (15) days following such delivery, use their commercially reasonable efforts to reach agreement on the disputed items or amounts in order to determine Seller’s Imbalance Amount and the calculation thereof.

  • Promptly following receipt of the Volumetric Gas Imbalance Report, Buyer shall deliver to Seller a statement showing Seller’s Imbalance Amount attributable to such report.

  • During the Services Term, in addition to the provisions in Section 3.3(e) (“Additional Gas”), Seller shall compensate Buyer, or Buyer shall compensate Seller, on a monthly basis, based on a Daily Imbalance Amount for each individual day of the calendar month as follows, with an example in Appendix XII.

  • The Purchase Price shall be further adjusted downward or upward, as appropriate, by an amount equal to: (i) any well imbalances in MMBtu with respect to the Acquired Assets existing as of the Effective Time; multiplied by the Per MMBtu Imbalance Amount; and (ii) any pipeline or transportation imbalances with respect to the Acquired Assets existing as of the Effective Time at the then current monthly price applicable to deliveries to the pipeline.

  • During the Delivery Term, in addition to the provisions in Section 3.3(e), Seller shall compensate Buyer, or Buyer shall compensate Seller, on a monthly basis, based on a Daily Imbalance Amount for each individual day of the calendar month as follows, with an example of the Gas True-up shown in Appendix VI.

  • This may allow better understanding of the job than a generic job title.

  • The Purchase Price shall be further adjusted downward or upward, as appropriate, by an amount equal to (i) any well imbalances in MMBtu with respect to the Acquired Assets existing as of the Effective Time; multiplied by the Per MMBtu Imbalance Amount; and (ii) any pipeline or transportation imbalances with respect to the Acquired Assets existing as of the Effective Time at the then current monthly price applicable to deliveries to the pipeline.

  • The amount of each Monthly Netting (the “Monthly Net Amount”) will be equal to the sum of the Aggregate Monthly Positive Imbalance Amount and Aggregate Monthly Negative Imbalance Amount and, if such Monthly Net Amount is positive, the Buyer shall deduct the Monthly Net Amount from the monthly payment due to Seller.


More Definitions of Imbalance Amount

Imbalance Amount means, as determined separately for gaseous Hydrocarbons (excluding natural gas liquids), liquid Hydrocarbons (excluding natural gas liquids), and natural gas liquids, (a) the contract price for such product in effect as of the Effective Time, (b) if there is not a contract price in effect as of the Effective Time, the sales price, or (c) if there is not a price described in the preceding clauses (a) and (b) in effect as of the Effective Time for such product, the applicable NYMEX front month index price for such product on the first day of the month in which the Execution Date occurs.

Related to Imbalance Amount

  • Broken Amount means, in respect of any Interest Payment Date, the amount specified in the relevant Final Terms.

  • True-Up Amount means the difference between the ABO calculated by using the member’s actual creditable service and the actual final average compensation as of the member’s effective date in the FRS Investment Plan and the ABO initially transferred.

  • Closing Adjustment Amount shall have the meaning set forth in Section 3.2(c).

  • Excess Concentration Amount means, at any time in respect of which any one or more of the Concentration Limitations are exceeded, the portion (calculated by the Borrower or the Servicer without duplication in accordance with Section 1.04) of the Receivable Balance of each Collateral Receivable that causes such Concentration Limitations to be exceeded.
