Maximum Credit Amounts; Increase, Reduction and Termination of Aggregate Elected Revolving Commitment Amount.
The Borrower shall have paid all fees and expenses required to be paid as a condition to an Increase, including, without limitation, those set forth in the Third Amendment Fee Letter, and the expenses of the Administrative Agent pursuant to Section 5 below.
Each Lender that is willing to participate in such requested Commitment Increase (each an “Increasing Lender”) shall, in its sole discretion, give written notice to the Administrative Agent on or prior to the Commitment Date of the amount by which it is willing to increase its Commitment.
Each Commitment Increase shall be effective on or before the date specified in the related notice to the Administrative Agent and each of the Funding Agents (each such date, a “Commitment Increase Date”) so long as the conditions set forth in Section 3.5 are satisfied.
Any Incremental Revolving Facility or Incremental Revolving Increase shall be pursuant to documentation as determined by the Borrower and the Additional Revolving Lenders providing such Incremental Revolving Facility or Incremental Revolving Increase, subject to the restrictions and exceptions set forth above.
