Ineligible Issuer definition

Ineligible Issuer means an ineligible issuer, as defined in Rule 405 of the Act.
Ineligible Issuer. For purposes of this Offering, the Company will be an “ineligible issuer” (as defined in Rule 405 under the Act) for purposes of Rules 164 and 433 under the Act.
Ineligible Issuer has the meaning set forth in Subsection 4.1(kkk);

  • At the earliest time after the filing of the Registration Statement that the Company or another offering participant made a bona fide offer (within the meaning of Rule 164(h)(2) of the Securities Act) relating to any of the Securities, the Company was not and is not an Ineligible Issuer (as defined in Rule 405 of the Securities Act).

  • At the earliest time after the filing of the Registration Statement that the Company or another offering participant made a bona fide offer (within the meaning of Rule 164(h)(2) of the Securities Act) relating to any of the Securities, the Company was, and as of the date of this Agreement the Company is, not an Ineligible Issuer (as defined in Rule 405 of the Securities Act).

More Definitions of Ineligible Issuer

Ineligible Issuer has the meaning specified in Section 4.10(d);
Ineligible Issuer means an issuer that satisfies one or more of the following:
Ineligible Issuer. On (i) the date hereof, (ii) at the time of filing the Registration Statement, any Rule 462(b) Registration Statement and any post-effective amendment thereto, (iii) at the time of the Registration Statement, any Rule 462(b) Registration Statement and any post-effective amendment thereto becomes effective under the Securities Act, (iv) on the Commencement Date, (v) on the Expiration Date and (vi) on the Exchange Date, the Company was not nor is an “ineligible issuer” (as defined in Rule 405 under the Securities Act).
Ineligible Issuer. Status. At the time of filing the Initial Registration Statement, the Company was not and is not an “ineligible issuer,” as defined in Rule 405 under the Act;
Ineligible Issuer. As of the date of the Prospectus Supplement, the Company is not an “ineligible issuer” in connection with the Offering as defined in Rule 405 under the Securities Act.
Ineligible Issuer. Designation. Galena shall use reasonable best efforts to assist Sellas in its efforts to have the SEC determine that, as of the Effective Time, it will not be necessary that Galena be considered an “ineligible issuer,” as that term is defined under Rule 405 under the Securities Act.
Ineligible Issuer. The Trust was not at the time of initial filing of the Registration Statement and at the earliest time thereafter that the Trust or any other offering participant made a bona fide offer (within the meaning of Rule 164(h) under the Act) of the Trust Units, is not on the date hereof and will not be on the Closing Date and the Additional Closing Date, as the case may be, an “ineligible issuer” (as defined in Rule 405).
