Examples of Information Recipient in a sentence
If Recipient or any of its Representatives is required by applicable law to disclose any Confidential Information, Recipient shall, prior to such disclosure, notify Discloser of such requirements to the extent legally permissible so that Discloser may seek, at Discloser’s sole cost and expense, a protective order or other remedy, and Recipient shall reasonably assist Discloser therewith.
In the event that Recipient or anyone to whom Recipient transmits the Confidential Information pursuant to this Agreement becomes legally compelled to disclose all or any portion of the Confidential Information, Recipient will provide the Provider with prompt notice thereof, so that the Provider may seek a protective order or other appropriate remedy.
If any court or governmental authority requires Recipient to disclose any portion of the Confidential Information, Recipient shall, to the extent permitted by law, (a) provide Owner with prompt written notice of such requirement and (b) cooperate with Owner’s Representatives in a commercially reasonable manner in obtaining any protective order or other remedy sought by Owner with respect to such requirement.
In the event Recipient is required by law, regulation, or court order to disclose any of Owner's Confidential Information, Recipient will notify Owner (if not prohibited by law from doing so) in writing prior to making any such disclosure to facilitate Owner seeking a protective order or other appropriate remedy from the appropriate body.
Prior to making any disclosure permitted by clause 31.2(b)(iv), 31.2(b)(v), 31.2(b)(vi) or 31.2(b)(vii), the Information Recipient must require any person to whom it intends to make the disclosure to enter into a written undertaking in favour of, and in a form acceptable to, the Disclosing Party and the Information Recipient, to keep the Confidential Information to be disclosed confidential on terms identical to those in clauses 31.1 and 31.2.
