Prior to or substantially simultaneously with the initial credit extension, the Borrower shall have received not less than $475.0 million in gross proceeds from the issuance and sale of the Initial Secured Notes pursuant to the Secured Note Indenture and delivery of cash collateral pursuant to the Forward Purchase Contract.
