Insider Letters definition

Insider Letters means those certain letter agreements, dated as of [●], 2021, by and among the Company, the Sponsor and each of the Company’s officers, directors and director nominees.

Insider Letters means those certain letter agreements, each dated [DATE], 2021, in one case by and among the Company and each of the Sponsor and the IPO Underwriters, and in the other case by and among the Company and each of its executive officers and directors.

• The Company shall not take any action or omit to take any action which would cause a breach of any of the Insider Letters and will not allow any amendments to, or waivers of, such Insider Letters without the prior written consent of the Representative, which consent shall not be unreasonably withheld.

• On the Effective Date, the Company shall have delivered to the Representative executed copies of the Transaction Documents and all of the Insider Letters.

More Definitions of Insider Letters

Insider Letters means those certain letter agreements, dated as of January 30, 2019, by and between the Company and each of the Company’s officers, directors, director nominees and the Sponsor.

Insider Letters has the meaning set forth in Section 5.21.
