Stockholders shall mean, initially, the Institutional Stockholders and the Management Stockholders of the Company, and thereafter any Person who becomes a party to this Agreement by executing an Instrument of Accession in connection with the transfer to or acquisition by such Person of any Stock from the Company or any Stockholder or any subsequent transferee of a Stockholder; provided that a Person shall cease to be a Stockholder hereunder at such time as such Person ceases to own Restricted Securities.
The rights available to the Institutional Stockholders and Management Stockholders under this Agreement and at law shall be deemed to be several and not dependent on each other and each such right accordingly shall be construed as complete in itself and not by reference to any other such right.
The Company shall also furnish to each of the Institutional Stockholders at their request a copy of any periodic reports required to be provided by the Company pursuant to the Credit Facilities.
If the Company ceases to qualify as a “controlled company” for purposes of the NYSE rules, the Institutional Stockholders and the Company will take whatever action may be reasonably necessary, if any, to cause the Company to comply with the NYSE rules as then in effect.
In the event that any of the Institutional Stockholders so elects to reduce the number or amount of Securities specified in its Acceptance, the Company may not issue, sell or exchange more than the reduced number or amount of the Securities unless and until such securities have again been offered to the Institutional Stockholders in accordance with Section 3.1(a).
