The Seller and WFS jointly and severally represent and warrant to the Insurer and the Underwriters that the Prospectus does not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements made therein, in the light of the circumstances under which they were made, not misleading (except that no representation or warranty is made with respect to the Insurer Information, the Insurer Financial Statements or the Underwriter Information).

If this representation is breached as of any date after the date of the Free Writing Prospectus or Prospectus Supplement and prior to the Incorporation Termination Date, the sole result of such breach shall be that the Insurer shall be required to furnish its Insurer Financial Statements thereafter pursuant to Section 4.07(c) below until the earlier of (i) the Incorporation Termination Date and (ii) the date on which the representation and warranty in this Section 4.07(b) shall be true again.
If the Insurer gives the Depositor any such written notice, upon the written request of the Depositor, the Insurer shall furnish to the Depositor the Insurer's unaudited financial statements for each of the March, June and September fiscal quarters and audited financial statements for each fiscal year (the "Insurer Financial Statements") as soon as reasonably practical after the release thereof for the period specified below in this Section 2.03(b).

Additionally, in the event that any Insurer Financial Statements which include an accountants audit report is to be included in a Form 10D or Form 10K filing of the Issuer which occurs prior to the termination of the offering of the Obligations, the Seller will provide written notice to the Insurer via electronic mail at least seven (7) Business Days prior to such filing, stating that an accountant’s consent will be required for such filing.
As of the date that any Note Insurer Financial Statements are provided to the Seller to be attached as an exhibit to, any Exchange Act Report, the Note Insurer Financial Statements, will comply in all material respects with the requirements of Item 1114(b)(2) of Regulation AB.
