No Person has asserted, and no Person other than Seller has, any right, title, interest or other claim in, or the right to receive any royalties or other consideration with respect to, any Intellectual Property Assets.
No funding from any Governmental Authority was used in the development of any Intellectual Property Assets and no Governmental Authority has a material claim or right to claim any right in any Intellectual Property Assets, or, to the Knowledge of Seller, to any Intellectual Property exclusively licensed to Seller.
