Intercompany Payable means any Liability, other than the Service Fees, owed by the Borrower to any of its Affiliates;
Intercompany Payable means, with respect to the Company, any amount owing by the Company to any Subsidiary of the Company.

Intercompany Payable means the net liabilities between any Acquired Company, on the one hand, and Seller or any of its Affiliates (other than the Acquired Companies), on the other hand, set forth on Schedule 2.2 hereof, including without limitation, all amounts owed by the Acquired Companies under that certain Tax Allocation Agreement, dated as of March 15, 2000, between Technical Olympic, Seller and the wholly-owned subsidiaries and affiliates of Seller, for the taxable years commencing on and after December 15, 1999, provided that amounts owed under such Agreement shall not include any payment for Taxes for periods prior to January 1, 2002, to the extent that such Taxes are not shown as a liability on the 2001 Balance Sheet.
Intercompany Payable means any payables or Liabilities owing by a Project Company to any Related Party.

Intercompany Payable means any amount owing or payable by the Division to (i) any other unit or entity within the Division or (ii) Sellers or any Affiliate of Sellers as of the Closing Date, including officers, stockholders or employees Affiliated with the Division.
