The Service Fees Sample Clauses

The Service Fees. The Service Fees shall be calculated as an annualized percentage of the average aggregate amount invested in the Funds for the applicable period. The aggregate amount shall be computed by totaling the aggregate investment on each business day during the period and dividing by the total number of business days during the period. The Service Fees will be due and payable only with respect to the Accounts which are identified in advance in writing by NFS or which are easily identifiable on MFS’ systems as being NFS’ accounts. NFS will be solely responsible for informing MFS in advance in writing of any changes to its trading methodologies that would affect the Accounts. NFS acknowledges and agrees that if it fails to notify MFS in writing within 150 days after the end of the calendar quarter that it either has not received a payment owed to it under this Agreement or if it disputes the calculation of the amount paid for such quarter, then NFS waives any and all rights to receive such payment from MFS. The Service Fees are in addition to any 12b-1 fees that may be payable to NFS pursuant to a Fund’s prospectus. The Service Fees. Any other agreements between the Service Provider and the Customer amending, correcting, supplementing or adjusting this Agreement in whole or in part.
The Service Fees. The Parties agree that, in consideration of the information consultation and technical services provided by Party A to Party B under Clause 1.1 of the Agreement, Party B shall pay the service fees to Party A. More details about the amounts and payment method of the service fees are shown in Schedule to the Agreement. The Schedule may be amended through consultations by both Parties and in accordance with actual implementation.
The Service Fees. The Issuer agrees to pay to PSS, and PSS agrees to accept as full compensation for all Services rendered by PSS as described on Exhibit A hereunder, a monthly fee based on the amount of Preferred Stock in a preferred stockholder account, in accordance with the Service Fee Schedule attached as Exhibit C (“Service Fees”). The Parties agree that the Service Fees to be paid as set forth in Exhibit C are competitive rates in the industry. The Issuer agrees to timely pay any and all fees due under this Agreement as set forth in Section 3.D, below.
The Service Fees and Rates may increase if changes in the Services mutually agreed to in writing substantially alter the servicing personnel, equipment, or result in the servicing being done on a different system.
The Service Fees. 3.1 The cost of the Service is based on the volume of waste uplifted and the frequency of uplifts (the “Service Fees”). The scale of charges is detailed on the Council’s website and is inclusive of both landfill tax and VAT at the prevailing rates. 3.2 The Service Fees are payable by the Customer 6 months in advance before commencement of the Service. The Customer shall make payment in advance upon receipt of an invoice at the beginning of April and October. The Council’s first invoice shall coincide with the date of commencement of the Service. 3.3 The Customer may terminate the Service in accordance with clause 5.4 however the Customer shall be liable for Service Fees until one month after the Council receives such notification. 3.4 The Council may make an extra charge to the Customer where access is not available and a return visit is required to complete the collection. 3.5 Excess collections for the Customer shall be invoiced separately by the Council. 3.6 The Council reserves the right to increase prices with immediate effect when conditions arise outwith the Council’s control e.g. landfill taxes increasing. The Council shall endeavour to provide written advance notice of any increase in the Service Fees. 3.7 The Customer is liable for all costs, fees and disbursements incurred by the Council in recovering any Service Fees owed to it by the Customer.
The Service Fees. VIALTA shall pay ESS Service Fees in amounts which shall be calculated based upon the following guidelines: (i) Set Top Box Business Services: VIALTA shall pay to ESS (A) [*] of the engineering labor hours specifically spent on VIALTA software projects; and (B) [*] of the engineering labor hours specifically spent on VIALTA system projects.

For the avoidance of doubt, no fee shall be due or payable on assets held in any money market portfolio. NFS will be solely responsible for informing MFS in advance in writing of any changes to its trading methodologies that would affect the Accounts. NFS acknowledges and agrees that if it fails to notify MFS in writing within 150 days after the end of the calendar quarter that it either has not received a payment owed to it under this Agreement or if it disputes the calculation of the amount paid for such quarter, then NFS waives any and all rights to receive such payment from MFS. The Service Fees are in addition to any 12b-1 fees that may be payable to NFS pursuant to a Fund’s prospectus.
The Service Fees. 5.1. The Principal shall, subject to any review of the method of the calculation of the Service Fees pursuant to paragraph 14.1.1, pay the Service Fees to the Service Provider for the provision of the Services. 5.2. The Service Fees shall be paid monthly with the first of such monthly payments being due and payable on the last day of the month in which the Commencement Date occurs and subsequently on the last day of each and every succeeding month during the Term, and the Principal acknowledges and confirms that failure by the Service Provider to deliver a monthly invoice to the Principal as required under clause 6 shall not in any way relieve the Principal from payment under this Agreement of or in any way constitute a waiver by the Service Provider of the right to receive the Service Fees payable pursuant to this Agreement. 5.3. The Service Provider acknowledges and agrees that in any review of the method of calculation of the Service Fees it shall not seek to have the Service Fees set at rates which exceed Commercial Rates for the Services on the date of review.
