International Manager definition

International Manager has the meaning ascribed thereto in the preamble;
International Manager as used in this Agreement shall include any party substituted under this Section 9 with like effect as if it had originally been a party to this Agreement with respect to such International Firm Stock and International Optional Stock.
International Manager includes any person substituted for an International Manager under this Section 10. Nothing herein shall relieve any defaulting International Manager from liability for its default.

  • No purchaser of Securities from any International Manager shall be deemed to be a successor by reason merely of such purchase.

  • The Company has delivered to each International Manager, without charge, as many copies of each preliminary prospectus as such International Manager reasonably requested, and the Company hereby consents to the use of such copies for purposes permitted by the 1933 Act.

  • Xxxxxxx Xxxxx, individually and not as representative of the International Managers, may (but shall not be obligated to) make payment of the purchase price for the Initial International Securities or the International Option Securities, if any, to be purchased by any International Manager whose funds have not been received by the Closing Time or the relevant Date of Delivery, as the case may be, but such payment shall not relieve such International Manager from its obligations hereunder.

  • The Company will furnish to each International Manager, without charge, during the period when the International Prospectus is required to be delivered under the 1933 Act or the 1934 Act, such number of copies of the International Prospectus (as amended or supplemented) as such International Manager may reasonably request.

  • The Company will furnish to each International Manager, without charge, during the period when the International Prospectus is required to be delivered under the 1933 Act or the Securities Exchange Act of 1934 (the "1934 Act"), such number of copies of the International Prospectus (as amended or supplemented) as such International Manager may reasonably request.

  • As used herein, the term "International Manager" includes any person substituted for an International Manager under this Section 10.

  • Time shall be of the essence, and delivery at the time and place specified pursuant to this Agreement is a further condition of the obligation of each International Manager hereunder.


More Definitions of International Manager

International Manager as used in this Agreement includes, for all purposes of this Agreement, any party not listed in Schedule I hereto who, with your approval and the approval of the Company, purchases International Securities which a defaulting International Manager is obligated, but fails or refuses, to purchase. Any notice under this Section 10 may be given by telegram, telecopy or telephone but shall be subsequently confirmed by letter.
International Manager in this Agreement shall include any person substituted for an International Manager under this Section.
