Intra-Group Payables means, in relation to each Group Entity, all amounts owed at any time prior to the Effective Time by that Group Entity to a member of the Seller’s Group (other than the Group Entities) in respect of (a) loans and other indebtedness, in each case including accrued interest calculated consistent with past practice, and (b) trading payables.

Intra-Group Payables means all outstanding account, note, or loan receivables or other financing Liabilities (whether current or non-current, and including interest accrued and dividends declared or payable but not paid) owed by any Target Group Entity to the Seller or its Affiliates (other than a Target Group Entity).

• Within 2 Business Days of a request from the Purchaser, the Seller shall provide the Purchaser with documentation, working papers and explanations in relation to the determination of the Intra-Group Payables and Intra-Group Receivables as may be reasonably requested in writing by the Purchaser.

• The Intra-Group Payables and Intra-Group Receivables appearing in the Intra-Group Payment Notice, adjusted to reflect the item or items as agreed between the Parties in writing or as determined by the Independent Accountants shall constitute the Intra-Group Payables and Intra-Group Receivables and any difference with the amounts paid on the Closing Date (which shall be as set out in the Intra-Group Payment Notice) shall be settled within 5 Business Days of their agreement or determination.

• In the same manner the Purchaser shall procure that on Closing the Intra-Group Payables are satisfied in full in accordance with Section 8.2(a)(v).

• One business day prior to the Completion Date, the Seller (without liability) shall provide to the Buyer a written estimate, together with such evidence (if any) as it may have in support, of the Debt, the Cash, the Intra-Group Receivables and the Intra-Group Payables, in each case, as at the close of business on the Completion Date.

Intra-Group Payables means all outstanding loans or amounts owed by the Company or the Subsidiaries to the Vendor or a member of the Vendor's Group as of the close of business immediately prior to the date hereof, but excluding, for the avoidance of doubt, trade payables arising in the ordinary course of business;

Intra-Group Payables means any amounts owing by a Sale Group Company (as debtor) to a Sellers’ Group Company (as creditor), excluding any trade balances arising in the ordinary course of business.

Intra-Group Payables means all outstanding loans or other financing Liabilities or obligations owed by any Group Company to a member of the Seller's Group as at the close of business on the Closing Date, but excluding any Third Party Indebtedness. The amount of such loans, Liabilities or obligations shall be reduced for the purposes of this definition by any Tax which is required to be withheld from any payment in respect of such loan, Liability or obligation;

Intra-Group Payables means any indebtedness (other than Trade Debts) owing, as at the Effective Time, by the Group Companies to members of the Seller’s Group;

Intra-Group Payables means, in relation to each Group Company, all amounts owed by said Group Company to a member of the Seller’s Group (other than the Group Companies) in respect of loans and other indebtedness, including dividends, Intra-Group Service Fees owed by such Group Company and amounts due in respect of Taxation paid by another member of the Seller’s Group on its behalf (together in each case with accrued interest thereon), at the Effective Time (but excluding any Intra-Group Trading Payables and any item to be included in calculating the Cash Balances of said Group Company) or the Third-Party Indebtedness of said Group Company, as derived from the relevant Net Debt Statement and included in line items under the heading “Intra-Group Payables” in Schedule 13 (Part 2);

Intra-Group Payables means, in relation to the Company and each Company Subsidiary, any amounts owed as of the Closing Date by the Company and each Company Subsidiary to any member of the Seller Group (which are not Inter-Company Trading Amounts), together with accrued interest, if any, up to the Closing Date on the terms of the applicable debt.

Intra-Group Payables means all outstanding loans or other liabilities or obligations owed by a Target Company to a member of Vendors' Group as at the Effective Time, but excluding any item which falls to be included in calculating Target Companies Cash, Third Party Indebtedness or Completion Working Capital;
