Intra-Group Payables definition

Intra-Group Payables means, in relation to each Group Entity, all amounts owed at any time prior to the Effective Time by that Group Entity to a member of the Seller’s Group (other than the Group Entities) in respect of (a) loans and other indebtedness, in each case including accrued interest calculated consistent with past practice, and (b) trading payables.
Intra-Group Payables means the aggregate of the amounts owing from members of the Group to members of the Seller’s Group (excluding amounts owing in respect of intra-group trading activities in the ordinary course of trading) as at Completion, as set out in the Statement and calculated in accordance with clause 6 and on the basis of the accounting policies and procedures set out in schedule 8;

  • The Intra-Group Payables and Intra-Group Receivables appearing in the Intra-Group Payment Notice, adjusted to reflect the item or items as agreed between the Parties in writing or as determined by the Independent Accountants shall constitute the Intra-Group Payables and Intra-Group Receivables and any difference with the amounts paid on the Closing Date (which shall be as set out in the Intra-Group Payment Notice) shall be settled within 5 Business Days of their agreement or determination.

More Definitions of Intra-Group Payables

Intra-Group Payables means any amounts owing by a Sale Group Company (as debtor) to a Sellers’ Group Company (as creditor), excluding any trade balances arising in the ordinary course of business.
Intra-Group Payables means any indebtedness (other than Trade Debts) owing, as at the Effective Time, by the Group Companies to members of the Seller’s Group;
Intra-Group Payables means all outstanding loans or other financing Liabilities or obligations owed by any Group Company to a member of the Seller's Group as at the close of business on the Closing Date, but excluding any Third Party Indebtedness. The amount of such loans, Liabilities or obligations shall be reduced for the purposes of this definition by any Tax which is required to be withheld from any payment in respect of such loan, Liability or obligation;
Intra-Group Payables means, in relation to the Company and each Company Subsidiary, any amounts owed as of the Closing Date by the Company and each Company Subsidiary to any member of the Seller Group (which are not Inter-Company Trading Amounts), together with accrued interest, if any, up to the Closing Date on the terms of the applicable debt.
Intra-Group Payables means all money owed by any Company to any member of the Unilever Group of a trading nature arising in the ordinary course of business, but excluding any amounts due in respect of Taxation except any such amounts as relate to VAT items;
Intra-Group Payables means amounts owing from members of the Group to members of the Seller’s Group;
Intra-Group Payables means the Intra-Group Finance Payables plus the Intra-Group Trading Payables;
