Invesco Funds means those registered investment companies, or series thereof, managed, advised, administered or distributed by Invesco Advisers, Inc. or its affiliates, set forth on Appendix A hereto (including predecessors in interest and successors in interest), as such Appendix may be amended from time to time.

Invesco Funds means all investment companies and their series portfolios, if any, whose shares are exchangeable for shares of the same class of the AIM Funds.

• This Agreement provides notice to each of the Invesco Funds of the termination of the Subadviser.

• The Adviser and the Subadviser, with notice to and consent of the Invesco Funds, desire to terminate the Subadvisory Contracts solely with respect to the Subadviser with immediate effect.

• Starting with Compensation to be paid to me with respect to services provided by me to the Invesco Funds for the next Deferral Year commencing January 1, 20 [insert year], I hereby elect that percent ( %)1 of my Compensation (as defined under the Agreement) be reduced and that the Fund establish and maintain a Deferral Account in accordance with the Agreement.

• Out-of-pocket expenses incurred by the Transfer Agent hereunder shall first be allocated among the series portfolios of the Invesco Funds based upon the number of open accounts holding shares in such portfolios.

• The name of the statutory trust is AIM Funds Group (Invesco Funds Group), and the Trustees may transact the Trust’s affairs in that name or any other name as the Board of Trustees may from time to time designate.

• Starting with Compensation to be paid to me with respect to services provided by me to the Invesco Funds for the next Deferral Year commencing January 1, 20__ [insert year], I hereby elect that _______________ percent (_______%)1 of my Compensation (as defined under the Agreement) be reduced and that the Fund establish and maintain a Deferral Account in accordance with the Agreement.

Invesco Funds means any of the regulated investment companies within the meaning of Section 851(a) of the Code (“mutual funds”) which are advised by Invesco Advisers, Inc., or its affiliates, and which are designated by the Sponsor, in its sole discretion, as eligible for investment hereunder.

SCHEDULE B Fees payable to State Street Bank and Trust Company The following fees and charges will be deducted from the Fund, AIM Summit Investors Plans I ("Plans I") or from Planholder accounts and paid to State Street Bank and Trust Company ("State Street") in accordance with the terms of the applicable Prospectus.

Invesco Funds means the Invesco Perpetual High Income Fund, a sub fund of the Invesco Perpetual UK Investment Series Investment Company with Variable Capital (ICVC) (Company No. IC000231), and the Invesco Perpetual Income Fund, a sub fund of the Invesco Perpetual UK 2 Investment Series Investment Company with Variable Capital (ICVC) (Company No. IC000221).
