Should Authority decide to change hosting providers entirely and use another third party hosting company, then all uploaded files, content, design files, documentation, the Approved Design Prototype, the Content-Integrated Prototype Website, any Authority Software, and if due to an Involuntary Migration the Vendor Software, will be provided at Authority’s request within five (5) days following Vendor’s receipt of an email from the Authority.
Any termination by the Authority for an Involuntary Migration shall be deemed a termination for cause.
Vendor agrees to provide Authority with access to and a reasonable number of copies of documentation and manuals for the Vendor Software; and (iii) if applicable due to an Involuntary Migration, for the Authority’s use in connection with hosting services to be provided by a third party.
A migration due to Vendor’s Cessation of Business shall be deemed an Involuntary Migration.
The cost to provide the service to migrate all of the foregoing for a Voluntary Migration would be billed by Vendor on an hourly basis not to exceed three (3) hours at Vendor’s standard hourly rates for website design, which currently is eighty-five dollars ($85.00) per hour, but such rates shall not exceed one- hundred dollars ($100.00) per hour, provided however that no such Vendor charges shall apply for any Involuntary Migration.
Except for any third party hosting services provider due to an Involuntary Migration if applicable, the Authority will not permit the Vendor Software to be used by or for the benefit of anyone other than Authority, its customers and end users.
