IPO Issuer definition

IPO Issuer means (a) the Company or (b) an Affiliate of the Company which will be a successor to the Company and the issuer in a Qualified Public Offering.
IPO Issuer means Holdings or any corporation or other legal entity that, at the time of the relevant Initial Public Offering, owns, directly or indirectly, 100% of the outstanding Equity Interests of Holdings.
IPO Issuer means the Issuer or any parent company of the Issuer.

  • If, in connection with the IPO Exchange, the Board of Directors determines that it is advisable to have all of the Units contributed by the holders thereof in one or a series of transactions to the IPO Issuer pursuant to an agreement that provides for the exchange of Units into IPO Securities of such person (with the amount of IPO Securities to be received by each such holder being determined in accordance with this Section 8.13), each holder of Units agrees to participate in such an exchange.

IPO Issuer means, in respect of a Qualifying IPO, the Person (as among the Parent or the Borrower and subject to the definition of the term "Change of Control" set forth in this Section 1.1) that is the issuer of the common Capital Stock offered in such Qualifying IPO.
