Examples of Issuance Proceeds in a sentence
Prior to the occurrence and continuance of an Event of Default, Agent hereby grants to Pledgor the right, subject to the provisions set forth herein, to collect all Net Equity Issuance Proceeds and the Proceeds thereof so long as Pledgor complies with the terms of the Credit Agreement and this Agreement.
The parties intend that this Agreement shall be a present, absolute and unconditional assignment and shall, upon the occurrence and during the continuance of an Event of Default, give Agent the right to collect the Net Equity Issuance Proceeds and to apply such Net Equity Issuance Proceeds to payment of the principal and interest and all other sums payable on the Obligations in accordance with the terms of the Credit Agreement.
Subject to the limitations in this clause (c) and other than as expressly provided otherwise under this Agreement, optional prepayments of any Borrowing, including without limitation, any optional prepayments funded with Equity Issuance Proceeds or capital contributions (other than in connection with an equity cure pursuant to Section 7.7) may be applied by the Borrower to the Borrowings in such manner as the Borrower may specify.
If any Excess Qualified Equity Issuance Proceeds remain outstanding after consummation of any such Offer to Purchase, the Company may use the Excess Qualified Equity Issuance Proceeds for any purpose not otherwise prohibited by this Indenture.
Promptly upon receipt by the Borrower of any Equity Issuance Proceeds, the Borrower shall prepay the Borrowings in an aggregate principal amount equal to no less than 50% of such Equity Issuance Proceeds; provided, however, that, unless otherwise agreed to by the Borrower, no prepayment shall be required to be made in respect of a receipt of any Equity Issuance Proceeds if the Total Leverage Ratio as of the end of the fiscal quarter most recently ended prior to such receipt is less than 2.25 to 1.00.
