Kimball Electronics Group definition

Kimball Electronics Group means Kimball Electronics and each Person that is a direct or indirect Subsidiary of Kimball Electronics immediately after the Effective Time, and each Person that becomes a Subsidiary of Kimball Electronics after the Effective Time, and shall include the Kimball Electronics Business Units.

  • Each member of the Kimball Electronics Group, as appropriate, shall be responsible for all administrative and financial matters relating to the Policies established and maintained by the members of the Kimball Electronics Group for claims relating to any period at or after the Effective Time involving any member of the Kimball Electronics Group.

  • Immediately prior to the Distribution, Kimball International will contribute to Kimball Electronics an amount of cash and cash equivalents so that, as of the Distribution, the members of the Kimball Electronics Group will have, in the aggregate, an amount of cash and cash equivalents equal to at least sixty-three million ($63 million).

  • Commencing as of the Effective Time, Kimball Electronics shall be responsible for establishing and maintaining a separate insurance program with commercially reasonable limits, deductibles, self-retentions for activities and claims involving any member of the Kimball Electronics Group.

  • It is understood that Claims-Made Policies may not provide coverage to the members of the Kimball Electronics Group or the Kimball International Group, as applicable, for incidents occurring prior to the Effective Time but asserted with the insurance carrier after the Effective Time.

  • Kimball Electronics or one or more members of the Kimball Electronics Group shall own (i) all Policies established in contemplation of the Distribution to cover only the Kimball Electronics Group after the Effective Time and (ii) the Policies listed on Schedule 9.1(b) (collectively, the “Kimball Electronics Policies”).

  • Kimball Electronics or one or more members of the Kimball Electronics Group shall own (i) all Policies established in contemplation of the Distribution to cover only the Kimball Electronics Group after the Effective Time and (ii) the Policies listed on S chedule 9.1(b) (collectively, the “Kimball Electronics Policies”).

  • This can result in inaccurate relative ranking of products, and present misleading information to buyers.

  • SpinCo shall have the meaning set forth in the Preamble.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • RemainCo shall have the meaning set forth in the Preamble.

  • ITT means the Purchaser’s invitation to tender dated (date ITT issued).

  • SpinCo Employee means any individual who, as of the Effective Time, is employed by or will be employed by Spinco or any member of the Spinco Group, including active employees and employees on vacation and approved leave of absence (including maternity, paternity, family, sick leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, short- or long-term disability leave, leave under the Family Medical Leave Act and other approved leave).

  • OPC has the meaning specified in the recital of parties to this Agreement.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Cendant means Cendant Corporation, a Delaware corporation.

  • Motorola means Motorola, Inc., a Delaware corporation.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Dean means the head of a faculty of the University;

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • Broadridge means Broadridge Financial Solutions, Inc.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • ADT means Weighted Average Daily Traffic, or the ratio between (a) traffic to (b) the number of days in a given period of time. Traffic is the number of vehicle crossings in toll plazas or free toll roads in a given period of time.

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.

  • Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.

  • COP means the conference of the parties to the Convention;

  • Dte. GHS means Directorate General and Health Services, MOH&FW.

  • LMC means Liberty Media Corporation, a Delaware corporation.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.
