Lease Assignment Documents definition

Lease Assignment Documents means, in respect of any Assigned Lease, (a) any agreement providing for the novation thereof to substitute, or the assignment thereof to, a Grantor as the lessor, (b) any agreement or instrument supplemental to this Agreement for the purpose of effecting and/or perfecting the assignment of, and the grant of a Lien upon, such Assigned Lease in favor of the Security Trustee under any applicable law (other than the law of the State of New York), (c) any notice provided to the applicable Lessee of the assignment thereof pursuant to this Agreement and/or such supplement, (d) any acknowledgment of such assignment by such Lessee and (e) any undertaking of quiet enjoyment given by the Security Trustee in respect thereof.

Lease Assignment Documents has the meaning ascribed thereto in the Security Trust Agreement.

Lease Assignment Documents means the assignment documents assigning leases held by a Member to the Company.

Examples of Lease Assignment Documents in a sentence

• Upon the written request of any Grantor, the Collateral Agent (solely in its capacity as such) will execute such undertakings of quiet enjoyment in favor of the Lessee under any Assigned Lease as are provided for in the Lease Assignment Documents or as are substantially to the same effect as the undertakings of quiet enjoyment provided for in such Assigned Lease.

• Seller does not utilize any tangible or intangible personal property (e.g., websites, delivery vehicles, trade names, off-site storage facilities, no equipment leases, etc.) or real estate in its operation of the Dealership that is not either being sold to Buyer as a Dealership Asset or subject of the New Lease or Lease Assignment Documents.

• Each party thereto other than Buyer has executed and delivered either the Lease Assignment Documents or the New Lease, as applicable.

Lease Assignment Documents means, in respect of any Assigned Lease, (a) any agreement providing for the novation thereof to substitute, or the assignment thereof to, a Borrower Subsidiary as the Lessor, (b) any agreement or instrument supplemental to this Agreement for the purpose of effecting and/or perfecting the assignment of, and the grant of a lien upon, such Assigned Lease (and Associated Rights) in favor the Collateral Agent under any Applicable Law, (c) any notice provided to the Lessee thereof of the assignment thereof pursuant to this Agreement and/or such supplement, (d) any acknowledgment of such assignment by such Lessee and (e) any undertaking of quiet enjoyment given by the Collateral Agent in respect thereof, in each case as such may be amended, restated and/or otherwise modified from time to time.

Lease Assignment Documents means all contracts, agreements and other -------------------------- documents required to be entered into in order to assign all of AWC's or any of its affiliate's rights and interests in the Lease to Purchaser, together with all estoppel letters and non-disturbance agreements that relate to the Lease which Purchaser may request.
