Lending Branch definition

Lending Branch means, in respect of each Lender, its office or branch at the address set out beneath its name in schedule 1 (or, in the case of a Transferee, in the Transfer Certificate to which it is a party as Transferee) or such other office or branch as any Lender shall from time to time select and notify through the Agent to the other parties to this Agreement;

Examples of Lending Branch in a sentence

• Without affecting the Borrower’s obligations under Clause 8.1.1 and in consultation with the Agent, the affected Lender will then take all such reasonable steps as may be open to it to mitigate the effect of the change or request (for example (if then possible) by changing its Lending Branch or transferring some or all of its rights and obligations under this Agreement to another financial institution reasonably acceptable to the Agent and after consultation with the Borrower).

More Definitions of Lending Branch

Lending Branch means the office of the Bank appearing at the beginning of this Agreement or any other office of the Bank designated by the Bank as the Lending Branch by notice to the Borrower;

Lending Branch means with respect to each Lender the branches or offices specified on the signature pages hereto or such other of its branches or offices as such Lender may from time to time designate in writing to Agent and Borrower.

Lending Branch means the branch or office designated in writing from time to time by each Lender to the Administrative Agent as the branch or office from which such Lender funds its Lender's Proportion and Lender's Proportion, as the case may be, of Drawings and to which the Administrative Agent is to forward payments made by the Borrower hereunder, the initial branch or offices being those set forth in Schedule B.

Lending Branch with respect to any Bank, means the office of such Bank named as such on the signature pages hereof or in the Assignment Agreement to which such Bank is a party or such other office of such Bank as such Bank may have last designated as its lending office for purposes of this Agreement by notice to the Administrative Agent and the applicable Borrower.
