The Lenders acknowledge that, pursuant to such activities, JPMCB, GS Bank and their respective Affiliates may receive information regarding any Loan Party or any Affiliate of a Loan Party (including information that may be subject to confidentiality obligations in favor of such Loan Party or such Affiliate) and acknowledge that the Administrative Agent or Revolver Agent, as applicable, shall be under no obligation to provide such information to them.
JPMCB, GS Bank and their respective Affiliates may make loans to, issue letters of credit for the account of, accept deposits from, acquire Capital Stock in and generally engage in any kind of banking, trust, financial advisory, underwriting or other business with each of the Loan Parties and their respective Affiliates as though JPMCB were not the Administrative Agent and GS Bank were not the Revolver Agent hereunder and without notice to or consent of the Lenders.
This Agreement amends and restates in its entirety the Credit Agreement, dated as of October 8, 2020, as amended by that certain Incremental Facility Amendment No. 1 to Credit Agreement dated as of November 25, 2020 and that certain Refinancing and Incremental Facility Amendment No. 2 to Credit Agreement dated as of April 14, 2021 (the “Existing Credit Agreement”), among FRONTIER COMMUNICATIONS CORPORATION, a Delaware corporation (the “Company”), JPMCB and each lender party thereto.
With respect to its Loans, JPMCB and GS Bank, as applicable, shall have the same rights and powers under this Agreement as any other Lender and may exercise such rights and powers as though it were not the Administrative Agent or Revolver Agent, as applicable, and the terms “Lender” and “Lenders” include JPMCB and GS Bank, as applicable, in its individual capacity.
