Licensor Technology. Means and includes the Licensed Patents as well as all present and future intellectual property including rights in inventions, patents, trade secrets, copyrights and other technology, and any portion thereof, associated with or supportive of use of the System, which Licensor owns or is authorized to license or otherwise transfer to Licensee under this Agreement and which Licensee received either from Licensor, IRE, or TDP with Licensor's assistance, and includes present and future IRE Technology, Technology and Licensor Affiliate Technology as well as other technology acquired by Licensor with respect to which Licensor has the right to license.

Licensor Technology means any and all proprietary processes, inventions, discoveries, technology, apparatus, tools, drawings, designs, prototypes, plans, specifications, materials, trade secrets, works of authorship, know-how, standards, documentation, applications, programs, methods, techniques, formulae, protocols, analyses, information and data in any form (whether or not patentable or copyrightable), and any and all other intellectual property or proprietary information, that presently exists or is developed prior to, on or after the date of execution of this Agreement relating in any way to Licensor’s ceramic composite technology using the UltraTemp, Ceris or Ceros products, including gas igniters, appliance igniters, flue gas sensors, automotive sensor heaters, automotive gas sensors, fuel cell stacks and components, heat and gas distribution products, but excluding plastic welding for automotive components, and operational capabilities related thereto.

Licensor shall make its employees, consultants, contractors, advisors and agents (“Representatives”) that are knowledgeable regarding the Licensor Technology and Product (including the Device and the properties and functions thereof), available to Company for scientific and technical explanations, advice that may reasonably be required by Company relating to the Development of Product (the “Development Support”).
Company shall not enter into a settlement, consent judgment or other voluntary disposition of any such Action without the prior written consent of the Licensor if the settlement, consent judgment or voluntary disposition will have a material adverse impact on Licensor’s business outside of the Territory, involve the admission of liability on the part of Licensor or the admission that any aspect of the Licensor Technology is invalid or unenforceable.
Licensor shall require all of its employees, and use best efforts to require its contractors and agents, and any Affiliates and Third Parties working on its behalf under this Agreement (and their respective employees, contractors and agents), to assign to Licensor any Licensor Technology and Company Inventions.
At the request of Company, and as applicable, Licensor shall make available to Company, as part of Regulatory Support (and subject to the cost provisions set forth in Section 5.3.1below with respect thereto), a qualified Representative who shall, together with the representatives of Company, participate in and contribute to meetings with the Regulatory Authorities with respect to regulatory matters relating to the Licensor Technology.
Company desires to receive an exclusive license from Licensor, and Licensor wishes to grant an exclusive license to Company, under the Licensor Technology specifically to (a) Commercialize Product in the Field in the Territory and (b) Develop and manufacture Product (but not the Device) worldwide in the Field (for use in the Territory) as set forth herein.

Licensor Technology includes Licensor Technical Information and Licensor Patent Rights related to the practice of the Conversion Process and Licensor Catalyst Information and Licensor Catalyst Patent Rights related to the use of Licensor catalysts in the practice of the Conversion Process but expressly excluding the right to make, have made, or sell Licensor Catalysts.

Licensor Technology means all Technology owned or controlled by Licensor as of the date hereof including rights that relate to and are used in researching, developing, or manufacturing laser cleaning equipment. “Owned or controlled” shall include Technology which Licensor owns or under which Licensor is licensed and has the right to grant sublicenses.

Licensor Technology means the Hardware, Software and Documentation.

Licensor Technology means the Licensor Copyrights, Licensor Patents, the Licensor Know-How and the Licensor Materials, and all other Intellectual Property rights Controlled by Licensor or any of its Affiliates at any time during the Term on or following the Execution Date that are necessary or useful for the research, Development, manufacture, use, or Commercialization of a Licensed Compound or Licensed Product.

Licensor Technology shall include Licensor Modules, Licensor Server Modules, and any bug fixes, patches, and minor corrections thereof.

Licensor Technology means, subject to Section 8.1, the Licensor Know-How and Licensor Patents.

Licensor Technology means know-how, methods, trade secrets and other Confidential Information held by Licensor and protected by Licensor Intellectual Licensed Intellectual Property Rights, including supply chain management.
