Licensor Information definition

Licensor Information means Licensor Know-How and any and all information, data, technology, documents and other materials related to the Compound and/or the Product owned or Controlled by Licensor as of the Effective Date and which is needed by or useful to Licensee in order for Licensee to perform its obligations or to exploit its rights under this Agreement.

Licensor Information means any and all materials, technical information, data, know-how, inventions, processes and other information relating to the Licensed Invention(s) that are in the possession of LICENSOR as of the Effective Date of this Agreement.

• Licensee shall have the right to provide such Licensor Information to any of its Affiliates and sublicensees for the purpose of the development, registration and commercialization of the Product.

• Licensee shall use Confidential Licensor Information only in connection with and for the purposes reflected in this Agreement and the other Transaction Agreements and for no other purpose.

• Licensee shall promptly notify Licensor of Licensee's intent to make any disclosure of Confidential Licensor Information prior to making such disclosure so as to allow Licensor adequate time to take whatever action Licensor may deem to be appropriate to protect the confidentiality of Confidential Licensor Information and Licensee will cooperate and provide any assistance that the Licensor may reasonably request in connection with the foregoing.

• For the avoidance of confusion, all information provided by Licensor to Licensee in connection with this Agreement shall be deemed Confidential Licensor Information unless Licensee can demonstrate that such information is available to it from sources other than Licensor that are not under a duty of confidentiality with respect thereto.

• Licensor hereby grants to Licensee an exclusive, non-transferable, sublicensable (in accordance with Section 12 herein) right and license, solely in the Licensed Territory and the Licensed Field of Use, (i) under the Patent Rights and the Licensee Patent Rights improvements to make, have made, sell, lease, offer for sale, and import the Licensed Products, and (ii) to use the Licensor Information solely in connection with the Licensed Products.

• The grant of rights shall be limited by and subject to the right of LICENSOR, its employees, officers, agents and students to use the Licensed Invention(s), Licensor Information and Patent Rights for (i) obtaining funds from any source for additional research, (ii) research, (iii) teaching and (iv) noncommercial purposes.

• Nothing in this Article IX shall prevent the disclosure or use of Confidential Licensee Information or Confidential Licensor Information, as the case may be, that (a) is or has become known to the public other than through a breach of this Agreement or (b) lawfully was disclosed to the disclosing Party on a non-confidential basis by a Third Party not prohibited from disclosing such information by a legal, contractual or fiduciary obligation.

• This Agreement does not convey and shall not be construed to convey to LICENSEE or any sublicensees any right, title to or ownership in and to Licensed Inventions or Products, Processes or Services derived therefrom and Licensor Information other than that specified in this Agreement.

• Upon the termination of the Software Product License, Customer agrees to return to Licensor all copies of tangible portions of the Software Product and any material containing or pertaining to the Licensor Information delivered or disclosed to Customer by Licensor pursuant to the terms of this Agreement, or otherwise, as well as any copies made by Customer.

• This Agreement is expressly made subject to any applicable laws, regulations, orders, or other restrictions on the import and export of the technology related to or information about the Patent Rights, Licensor Information, Licensed Products, Licensee Patent Rights improvements and other rights under this Agreement which may be imposed from time to time.

More Definitions of Licensor Information

Licensor Information means the information and metadata to be incorporated into the Programs by Licensor prior to delivery, as specified by Licensor from time to time.

Licensor Information means and include all information, materials or documents in any way regarding or relating to the Licensors or any of their affiliates or their respective businesses, whether provided to or obtained by IMI, including, without limitation, all customer lists, all technical data, research or information and all trade secrets and other proprietary ideas, concepts, know-how and methodologies. IMI acknowledges that money damages would be an inadequate remedy for the injuries and damage that would be suffered by the Licensors in the case of IMI's breach of this Section 9(c).

Licensor Information means any and all materials, technical information, data, know-how and other infix-motion developed or created prior to the Effective Date of this Agreement and provided to Licensee by Licensor after the Effective Date and pertaining to the Patent Rights whether or not it is of a confidential nature: but specifically not including the Software: provided however, that such transfer shall not exceed three (3) hours of Licensor's time and effort.

Licensor Information means information, including the Software, created or otherwise owned by Licensor or licensed by Licensor from third parties, related to the Services and any materials prepared by Licensor pursuant to a Statement of Work.
