LiLAC SAR definition

LiLAC SAR means a share appreciation right with respect to shares of LiLAC Ordinary Shares granted under a share incentive plan of LGP.
LiLAC SAR means a share appreciation right with respect to LiLAC Shares.

  • The number of Shares exercisable under an Option or SAR shall be the number of LiLAC Shares that a Participant would have received in the Distribution if the applicable option for LiLAC Shares had been exercised immediately prior to the Distribution Date or, in the case of a LiLAC SAR, the number of Shares equal to the aggregate number of LiLAC Shares subject to such LiLAC SAR immediately prior to the Distribution Date.

  • Each Option and SAR shall be for the equivalent class of Shares as the corresponding option for LiLAC Shares or LiLAC SAR.

Related to LiLAC SAR

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Tandem SAR means an SAR that is granted in connection with a related Option pursuant to Article 7 herein, the exercise of which shall require forfeiture of the right to purchase a Share under the related Option (and when a Share is purchased under the Option, the Tandem SAR shall similarly be canceled).

  • Employee Option means an Option granted pursuant to Section 5.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • SAR means a stock appreciation right granted under the Plan.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Incentive Option means an Option which by its terms is to be treated as an “incentive stock option” within the meaning of Section 422 of the Code.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Limited SAR means a right granted to a Participant under Section 6(c) hereof.

  • Optioned Stock means the Common Stock subject to an Option.

  • Freestanding SAR means an SAR that is granted independently of any Options, as described in Article 7 herein.
