Limited Availability Period definition

Limited Availability Period means the period beginning on the Third Amendment Effective Date and continuing through and including the earlier of (i) April 1, 2023, and (ii) the first date on which the Borrower makes a Trigger Election; provided that in the case of this clause (ii), (x) no Default or Event of Default then exists or would exist after giving pro forma effect thereto and (y) the Borrower shall be in pro forma compliance with the Financial Performance Covenant (calculated as if the Trigger Election had already occurred).
Limited Availability Period means the period beginning on the Third Amendment Effective Date and continuing through and including the first date on which (a) (i) a Compliance Certificate is timely delivered pursuant to Section 5.01(d) with respect to a fiscal quarter ending on or after March 31, 2022, demonstrating compliance with the Financial Performance Covenant contained in Section 6.10 for such fiscal quarter, or (ii) the Borrower makes a Trigger Election; and (b) no Default or Event of Default then exists.
Limited Availability Period means (a) initially, the period commencing on the Third Amendment Effective Date and ending on the first occurring Unrestricted Leverage Date and (b) thereafter, each subsequent period beginning on the next occurring Restricted Leverage Date and continuing through and including the next occurring Unrestricted Leverage Date.

Limited Availability Period means the period from the Third Amendment Effective Date through (but not including) the date which is the earliest to occur of (a) the consummation of the Proposed Alliance Acquisition and (b) March 13, 2012.

  • Revolving Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Maturity Date and the date of termination of the Revolving Commitments.

  • Term Loan Availability Period means the period starting on the Effective Date and ending on the End Date.

  • Excess Availability means, as of any date of determination, the amount equal to Availability minus the aggregate amount, if any, of all trade payables of Borrower and its Subsidiaries aged in excess of historical levels with respect thereto and all book overdrafts of Borrower and its Subsidiaries in excess of historical practices with respect thereto, in each case as determined by Agent in its Permitted Discretion.

  • Undrawn Availability at a particular date shall mean an amount equal to (a) the lesser of (i) the Formula Amount, or (ii) the Maximum Revolving Advance Amount, minus the Maximum Undrawn Amount of all Letters of Credit, minus (b) the sum of (i) the outstanding amount of Revolving Advances, plus (ii) amounts due and owing to any Borrower’s trade creditors which are outstanding sixty (60) days or more past the due date thereof.

  • Swing Line Availability has the meaning ascribed to it in Section 1.1(c)(i).

  • Availability Date means the day after the end of the fourth fiscal quarter following the fiscal quarter that includes such Effective Time on which the Company is required to file its Form 10-Q for such fiscal quarter except that, if such fourth fiscal quarter is the last quarter of the Company’s fiscal year, “Availability Date” means the day after the end of such fourth fiscal quarter on which the Company is required to file its Form 10-K.

  • Maximum Available Commitment means, subject to the proviso contained in the third sentence of Section 2.02(a), at any time of determination, (a) the Maximum Commitment at such time less (b) the aggregate amount of each Interest Advance outstanding at such time; provided that following a Provider Advance or a Final Advance, the Maximum Available Commitment shall be zero.

  • Availability Amount is (a) the lesser of (i) the Revolving Line or (ii) the amount available under the Borrowing Base minus (b) the outstanding principal balance of any Advances.

  • Non-Availability Charges has the meaning set forth in the CAISO Tariff.

  • Total Facility A Commitments means the aggregate of the Facility A Commitments, being €300,000,000 at the date of this Agreement.
