Limited Ownership Minimum definition

Limited Ownership Minimum has the meaning set forth in the Holdco LLC Agreement.
Limited Ownership Minimum means, with respect to the Rock Members, if the number of its Owned Shares exceeds [·], as adjusted for any stock split, stock dividend, reverse stock split, combination, recapitalization, reclassification or similar event.

The foregoing definition of Adjusted Capital Account Balance is intended to comply with the provisions of Treasury Regulations Section 1.704-1(b)(2)(ii)(d) and shall be interpreted consistently therewith.

  • Unreturned Capital Contributions means all Capital Contributions made by a Class A Member less any returned capital.

  • Power Transfer Distribution Factor or “PTDF” shall mean a measure of the responsiveness or change in electrical loadings on Transmission Facilities due to a change in electric power transfer from one area to another, expressed in percent (up to 100%) of the change in power transfer in the pre-contingency configuration of a system under study.

  • Budget unit means the unit for which the ANB of a district is calculated separately pursuant to 20-9-311.

  • Percentage Interest means, with respect to each Note Holder, a fraction, expressed as a percentage, the numerator of which is the Note Principal Balance of the Note held by such Note Holder and the denominator of which is the sum of the Note Principal Balances of all of the Notes.

  • Partner Minimum Gain means an amount, with respect to each Partner Nonrecourse Debt, equal to the Partnership Minimum Gain that would result if such Partner Nonrecourse Debt were treated as a Nonrecourse Liability, determined in accordance with Regulations Section 1.704-2(i)(3).
