Liquidation Gain definition

Liquidation Gain has the meaning set forth in the definition of Net Termination Gain.

Liquidation Gain or "Liquidation Loss" shall mean all gain or loss that would have been recognized by the Partnership for federal income tax purposes if assets to be distributed by the Partnership in kind pursuant to Section 13 .4 were sold for cash by the Liquidating Trustee on a date not more than 90 days prior to such distribution at prices equal to their fair market values as determined by the Managing Partner.

  • Liquidation Loss Amount With respect to any Payment Date and any Mortgage Loan that became a Liquidated Mortgage Loan during the related Collection Period, the unrecovered portion of the Principal Balance of such Mortgage Loan and any unpaid accrued interest thereon at the end of such Collection Period, after giving effect to the Net Liquidation Proceeds applied in reduction of such Principal Balance.

With respect to each Mortgage Loan that has become the subject of a Debt Service Reduction and any Distribution Date, the amount, if any, by which the principal portion of the related Monthly Payment has been reduced.

No interest shall be paid on the capital account of any Partner.

  • Unrealized Gain attributable to any item of Partnership property means, as of any date of determination, the excess, if any, of (a) the fair market value of such property as of such date (as determined under Section 5.5(d)) over (b) the Carrying Value of such property as of such date (prior to any adjustment to be made pursuant to Section 5.5(d) as of such date).

  • Liquidating Event has the meaning set forth in Section 13.1 hereof.

  • Unrealized losses means the fair market value of the cost to such Person of replacing such Rate Management Transaction as of the date of determination (assuming the Rate Management Transaction were to be terminated as of that date), and “unrealized profits” means the fair market value of the gain to such Person of replacing such Rate Management Transaction as of the date of determination (assuming such Rate Management Transaction were to be terminated as of that date).
