Liquidity Sale definition

Liquidity Sale has the meaning set forth in Section 2.8(f)
Liquidity Sale means any Transfer of Equity Shares by the Existing Promoter Group in accordance with the provisions of Article 16.7;
Liquidity Sale means a 2.5x Liquidity Sale or a 3.0x Liquidity Sale.

Examples of Liquidity Sale in a sentence

  • The sales will close on the July 1 or January 2 following the date of the Liquidity Sale Notice (or if not a business day, then on the next following business day).

  • During the period (the "Re-valuation Notice Period") from May 16 to May 31, or November 16 to November 30, as applicable, each Member may withdraw a previously submitted Liquidity Sale Notice.

  • During the period (the "Regular Notice Period") from April 15 to April 30, or October 15 to October 31, each Member may submit to JLLC a written notice (a "Liquidity Sale Notice") specifying the number of his/her vested shares that he/she desires to sell at the per-share valuation specified in the applicable Valuation Notice.

  • The restrictions on the Transfer of Stockholder Shares set forth in this Section 4 shall continue with respect to each Stockholder Share until the date on which such Stockholder Share has been Transferred in a Public Sale or pursuant to a Sale of the Company or a Liquidity Sale.

  • Following receipt of a 3.0x Liquidity Sale Request, the Company shall use its reasonable best efforts to consummate (and each Sponsor shall use its reasonable best efforts to cause the consummation of, including, to the extent applicable, voting for and using its reasonable best efforts to cause its directors to vote for) a 3.

  • The Existing Promoter Group acknowledge and agree that that the right to initiate a Liquidity Sale shall only be available to the Existing Promoter Group after a period of at least 3 (three) months has elapsed since the Transfer of the last of the relevant Equity Shares that were offered to the New Promoter Group in accordance with Article 16.7(c) by the Existing Promoter Group pursuant to a prior Liquidity Sale.

  • The provisions of Section 2(a)-(d)(i) shall terminate automatically and be of no further force and effect upon the first to occur of (i) a Sale of the Company or a Liquidity Sale (unless such Sale of the Company or Liquidity Sale is structured as a sale of assets) and (ii) an IPO.

  • If, after 6 months of using such reasonable best efforts, the Board determines that such 3.0x Liquidity Sale is not achievable, then the Board may provide written notice of such determination to the electing Principal Sponsor and, if the electing Principal Sponsor consents in writing, the Company may abandon its efforts to consummate a 3.0x Liquidity Sale and shall no longer be obligated to consummate a 3.0x Liquidity Sale until a Principal Sponsor subsequently delivers another 3.0x Liquidity Sale Request.

  • Vested shares that are properly offered for sale in Liquidity Sale Notices from Members will be purchased either by JLLC or Xxxxxxxx, as described below in Section F.

  • An employee may withdraw a Liquidity Sale Notice, once submitted, at any time until the close of business on the last business day of the Regular Notice Period.

Related to Liquidity Sale

  • Liquidity Event means a Change of Control or an IPO.

  • Liquidity Capitalization means the number, as of immediately prior to the Liquidity Event, of shares of the Company’s capital stock (on an as-converted basis) outstanding, assuming exercise or conversion of all outstanding vested and unvested options, warrants and other convertible securities, but excluding: (i) shares of Common Stock reserved and available for future grant under any equity incentive or similar plan; (ii) any SAFEs; and (iii) convertible promissory notes.

  • Qualified Financial Institution means, at any time, a financial institution organized under the laws of any jurisdiction in the United States of America or Europe that at such time has outstanding debt obligations with a stated maturity of one year or less from the date of issue and rated A-1 or higher by Standard & Poor’s, a division of The McGraw Hill Companies, Inc., Ratings Group (or any successor) or P-1 or higher by Moody’s Investors Service, Inc. (or any successor) or, in either case, such other comparable rating, if any, then used by such rating agency.

  • Sale Transaction has the meaning set forth in Section 3(a).
